ASSIGNMENT OF LEASE
FOR AND IN CONSIDERATION of Ten Dollars ($10.00) in hand paid) C.L.L.
Corporation, a Florida corporation ("Assignor")) as tenant under that certain Marula Lease
between Miami Beach Marina Associates) Ltd. ("Landlordlt), as Landlord, and Majesty
Enterprises of Florida LLC) a Florida limited liability company (ItMajesti'), as Tenant, dated
January 31) 2002, flt~ amended by that certain letter agreement between Majesty and Landlord
dated as of April ~ 2003, and as amended by that certain Lease Amendment between Majesty
and Landlord dated as of July 1, 2003, as assigned by Majesty to MB Cruises, LLC ("MB"), a
Delaware limited liability comp81lY on or about June 10, 2004, as subsequently fw.iller assigned
by MB to Assignor in June 2005 (collectively, the "Lease ") hereby assigns the Lease to Mi81ni
Beach Cruises LLC, a Florida limited liability company (the "Assignee"). A true and COlTect
copy of the Lease is attached hereto as Exhibit "A". Assignor ~Uld Assignee each hereby
represent and W81Tant as to themselves that it has full aulllOrity to execute 81Id deliver this
Assigmllent of Lease. Assignee hereby assumes the obligations of Assignor WIder the Lease
arising from and after the Effective Date. This Assignment of Lease may be executed in one or
more counterp811:s, each of which will be deemed to be 811 original copy of tIns Assignment of
Lease and all of which, when taken together, will be deemed to constitute one and the same
AssiglIDlent of Lease. This Assigmnent of Lease is effective as of the ~day of August, 2006
(the "Effective Date").

ASSIGNMENT OF LEASE
FOR AND IN CONSIDERATION of Ten Dollars ($10.00) in hand paid, C.L.L.
Corporation, a Florida corporation ("Assignor"), as tenant under that certain Marina Lease
between Miami Beach Marina Associates, Ltd. ("Landlord"), as Landlord, and Majesty
Enterprises of Florida LLC, a Florida limited liability company ("Majesty"), as Tenant, dated
January 31, 2002, as amended by that certain letter agreement between Majesty and Landlord
dated as of April.2:Z:"2003, and as amended by that certain Lease Amendment between Majesty
and Landlord dated as of July 1, 2003, as assigned by Majesty to MB Cruises, LLC ("MB"), a
Delaware limited liability company on or about June 10, 2004, as subsequently further assigned
by MB to Assignor in June 2005 (collectively, the "Lease") hereby assigns the Lease to Miami
Beach Cruises LLC, a Florida limited liability company (the IIAssignee"). A true and correct
copy of the Lease is attached hereto as Exhibit "A". Assignor and Assignee each hereby
represent and wanant as to themselves that it has full authority to execute and deliver tins
Assigmnent of Lease. Assignee hereby assumes the obligations of Assignor under the Lease
arising from and after the Effective Date. This Assignment of Lease may be executed in one or
more counterparts, each of which will be deemed to be an original copy of tins Assignment of
Lease and all of which, when taken together, will be deemed to constitute one and the same
Assignment of Lease. This Assigmnent of Lease is effective as of the ~ c( "aay of August, 2006
