(RS&H), having its offices at 6161 Blue Lagoon Drive, Suite 200, Miami Florida, 33126 (hereinafter referred to as CONSULTANT). RECITALS WHEREAS, pursuant to Request for Qualifications (RFQ) NO.1 0-0001, the Mayor and City Commission adopted Resolution No. 2001-24551, on September 5, 2001, approving and authorizing the Mayor and City Clerk to execute an Agreement with Reynolds, Smith and Hills, Inc, for Professional Services for the La Gorce Streetscape Right-of-Way Neighborhood Project (the Project); and WHEREAS, the Agreement provides for the detailed planning services for various streetscape / landscape / utility improvements within the La Gorce neighborhood; and WHEREAS, the Agreement was executed for a not-to-exceed amount of $185,291.00; and I I WHEREAS, the planning effort for the La Gorce neighborhood has been completed and detail design activities are underway; and WHEREAS, on May 29, 2002, the Mayor and City Commission adopted Page 1 of 7 MB:4005 Amendment No. 11 11 03 06 /-.. .1"'" Resolution No. 2002-24857, approving additional design services as Amendment NO.1 to the Agreement, for planning, design, permitting, bidding / award and construction administrative services for the Cherokee Avenue Seawall improvements within the La Gorce neighborhood for a not-to-exceed amount of $45,000; and WHEREAS, on January 8, 2003, the Mayor and City Commission adopted Resolution No. 2003-25096, approving additional design services as Amendment NO.2 to the Agreement, for design, permitting, bidding / award and construction administrative services for various streetscape / landscape / utility improvements within the La Gorce neighborhood and includes Cherokee Avenue Seawall rehabilitation/replacement for a not-to-exceed amount of $333,932.00; and WHEREAS, on October 15, 2003, the Mayor and City Commission adopted Resolution No. 2003-25362, approving additional design services as Amendment NO.3 to the Agreement, for design, permitting, bidding / award services for the relocation of existing utility improvements currently located along rear easements of approximately 153 properties, for an amount of $35,999.00; and WHEREAS, on June 21,2004, Amendment NO.4 to the Agreement was executed, to perform percolation tests and collect additional survey data, to proceed with the design of stormwater improvements within the La Gorce neighborhood, for a not-to-exceed amount of $8,709.00; and WHEREAS, on November 18, 2004, Amendment NO.5 to the Agreement was executed, to include the development of sketches for alternative traffic flow improvement within the La Gorce Park area, for a not-to-exceed amount of $3,604.00; and WHEREAS, on February 23, 2005, the City Commission adopted Resolution No. 2005-25813 authorizing the execution of Amendment NO.6 to the Agreement, to include a Scope of Work which consists of additional design services for stormwater improvements for the La Gorce neighborhood, for a not-to-exceed amount of $42,000.00; and WHEREAS, on June 8, 2005, Amendment NO.7 to the Agreement was executed, to include the verification of additional underground utilities to avoid conflicts in 90 boring sites, for a not-to-exceed amount of $27,150.00, inclusive of $5,000.00 from the original contract agreement and $22,150.00 as approved by this Amendment No.7; and WHEREAS, on August 3, 2005, Amendment NO.8 to the Agreement was executed to include design of various streetscape improvements and a traffic study in the La Gorce Neighborhood, for a not-to-exceed amount of $22,829.00; and WHEREAS, on July 29, 2005, Amendment NO.9 to the Agreement was executed to include the verification of additional underground utilities to avoid conflicts in 50 boring sites, for a not-to-exceed amount of $13,750.00; and Page 2 of 7 MB:4005 Amendment No. 11 11 03 06 ... .Y j ..... ~' WHEREAS, on August 10, 2006, Amendment No. 10 to the Agreement was executed to include additional landscape revisions in La Gorce Park area, for a not-to- exceed amount of $9,199.00; and WHEREAS, this Amendment No. 11 to the Agreement in the amount of$20,333.00 is to include the installation of "P3.2" classified water main replacements required by the City's Public Works Department; and WHEREAS, this proposal has been evaluated by Hazen & Sawyer, the City's Program Manager, and the CIP Office. NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises, covenants, agreements, terms, and conditions herein contained, and other good and valuable consideration, the respect and adequacy are hereby acknowledged, do agree as follows: 1. ABOVE RECITALS The above recitals are true and correct and are incorporated as a part of this Amendment No. 11. 2. MODIFICATIONS The Agreement is amended as defined in Schedule "A-11 ", attached herein. 3. OTHER PROVISIONS. All other provisions of the Agreement, as amended, are unchanged. 4. RATIFICATION. The City and Consultant ratify the terms of the Agreement, as amended by this Amendment No. 11. " ~....... , SCHEDULE "A- 11" SCOPE OF SERVICES Schedule "A" entitled, "Scope of Services", is amended as follows: DELETE Exhibit A and REPLACE it with the attached Exhibit A-1 ADD the following under Task 5 - ADDITIONAL SERVICES, after the language added for Amendment No.2: Task 5.7 - Desiqn of "P3.2 Classified" Water Mains: The Consultant shall provide detailed design services for producing contract documents (specifications and drawings) as needed for the construction of an estimated 2,320 linear feet of "P3.2" Water Mains required by Public Works within the La Gorce Neighborhood. In this effort, the Consultant shall be bound by the requirements stipulated in TASK 2 - DESIGN SERVICES as adopted via Resolution No. 2003-25096, on January 8, 2003, approving and authorizing the Mayor and City Clerk to execute an Agreement with Reynolds, Smith and Hills, Inc for Professional Services for the La Gorce Neighborhood Right of Way Improvement Project. ADD the following under Task 6 - REIMBURSABLES, Task 6.7 - Reproduction Services for "P3.2 Classified" Water Mains The Consultant shall be reimbursed at the usual and customary rate for reproduction of reports, contract documents and miscellaneous items, as may be requested by the CITY. Unused amounts in this allowance shall be credited back to the CITY at the completion of the project. Task 6.8 - Survey for "P3.2 Classified" Water Mains The consultant shall arrange and coordinate the efforts of licensed surveyors to include an additional estimated 2,320 linear feet of "P3.2" Water Mains within the project limit to meet the intent of the approved project Scope. This effort shall meet the requirements set forth in Task 2.1. Unused amounts in this allowance shall be credited back to the CITY at the Page 5 of 7 MB:4005 Amendment No. 11 11 03 06 ,..-.. Task 6.9 - Geotechnical Evaluation for "P3.2 Classified" Water Mains The Consultant shall arrange the services of a professionally licensed geotechnical firm to perform boring / test excavations as necessary to ascertain soil conditions, in an effort to identify existing conditions for pipe bedding considerations. The scope of such services shall be subject to review and acceptance by the City. Costs shall be limited to a not-to-exceed amount. Unused amounts shall be credited back to the City at the completion of the project. Task 6.10 - Underqround Utility verification for "p3.2 Classified" Water Mains The consultant shall arrange the services of an underground utility location service to perform additional vacuum extraction excavations for the work related to the "p3.2 classified" water mains. Actual locations shall be as directed by the Consultant and subject to review and acceptance by the City. Costs shall be limited to a not-to-exceed amount. Unused amounts in this allowance shall be credited back to the CITY at the completion of the project. TIME OF COMPLETION Additional design services contemplated by his Amendment are to be completed within five (5) months of receipt of authorization to proceed. PAYMENT AND COMPENSATION The method of calculating fees for the aforementioned proposed additional professional architectural and engineering services is established in Exhibit 'A-11' attached, based on estimated labor plus direct costs. The total fee proposed for this Scope of Work shall be on a not-to-exceed basis in the amount of $22,330.00. Invoicing will be monthly and based on hourly rates as defined in the current Agreement between Reynolds, Smith and Hills, Inc and the City of Miami Beach. CONSULTANT's request for additional services is attached for reference purposes. A map showing the locations of the proposed water main is provided under Exhibit A-1. The fee requested to perform this work is $20,333, as shown in the attached Summary Sheet. The services to be provided are as follows: 1:1 Develop approximately five (5) new plan and profiles sheets for the design of the additional water main. 1:1 Modify existing Design Documents for the La Gorce Neighborhood, as necessary, to incorporate the additional water main. 1:1 Submit 2 sets of the design drawings, for the additional water main, at the 60% completion stage to the Program Manager for review 4 weeks from receipt of Notice to Proceed. 1:1 Revise and Incorporate the design drawings for the additional water main into the 90% Design Documents for the La Gorce Neighborhood within 4 weeks of receipt of review comments, for the 60% submittal, from the Program Manager. 1:1 Attendance at up to two (2) Design Review meetings with the Program Manager and the Oty of Miami Beach CIP representative for the additional water main. 1:1 Coordinate underground utility verification along the proposed alignment of the additional water main. 1:1 Revise Opinion of Probable Construction Cost to include the additional water main. 1:1 Revise construction permit application to include the additional water main. The additional design services to be provided are based on the follOWing assumptions: 1:1 Modifications to the existing topographic surveyor additional surveying services, if required, are not included in the fee.
