A RESOLUTION OF THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH,
FLORIDA, AUTHORIZING THE MAYOR AND CITY
CLERK TO EXECUTE AN AMENDMENT TO THE
AGREEMENT BETWEEN THE CITY OF MIAMI
BEACH AND SPILUS CANDELA & PARTNERS, INC.
FOR PROFESSIONAL ARCmTECTURAL SERVICES
FOR THE RENOVATION AND EXPANSION OF THE
BASS MUSEUM; SAID AMENDMENT PROVIDING
FOR THE INCLUSION OF THREE (3) MIAMI BEACH
RESIDENTS TO THE BASS MUSEUM RENOVATION
AND EXPANSION BUILDING COMMITTEE, UNDER
THE TERMS AND CONDITIONS PROVIDED IN THE
AGREEMENT.
WHEREAS, on July 28,1994, the Mayor and City Commission approved an agreement
between the City and Spillis Candela & Partners, Inc, for professional architectural services for the
renovation and expansion of the Bass Museum (Agreement), said approval conditioned upon the
final review and incorporation of the comments of outside counsel, as retained by the City Attorney's
Office, specializing in architectural agreements involving the expansion and renovation of museums;
and
WHEREAS, pursuant to outside counsel's review of the Agreement, one of the
recommended inclusions therein provided for the creation of an ad hoc advisory body to the City,
to be known as the Bass Museum Renovation and Expansion Building Committee (the Project
Committee), whose primary purpose would be to involve the Bass Museum Board of Trustees and
Museum fundraisers, as represented by and through the Friends of the Bass Museum, to assist and
advise the City with respect to the Project; and
WHEREAS, as set forth in the Agreement, the original composition of the Project
Committee included one member selected to represent the Bass Museum Board of Trustees, one
member selected to represent the Friends of the Bass Museum, one member to represent the Bass
Museum Administration, and a fourth "ex officio" City Commissioner as a member; and
WHEREAS, upon careful consideration, and as a considerable sum of public monies are to
be expended in the Bass Museum Renovation and Expansion Project, it is the City's recommendation
that three citizen-at-large members, all residents of the City of Miami Beach, also be appointed to
the Project Committee, and that the Agreement be amended accordingly to reflect this change,
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City Clerk
are herein authorized to execute the attached Amendment to the Agreement between the City of
Miami Beach and Spillis Candela & Partners, Inc, for Professional Architectural Services for the
Renovation and Expansion of the Bass Museum; said Amendment providing for the inclusion of
three (3) Miami Beach residents to the Bass Museum Renovation and Expansion Building
Committee, pursuant to the terms and conditions provided in the Agreement.

CANDELA, INC. FOR PROFESSIONAL ARCHITECTURAL SERVICES FOR THE
RENOVATION AND EXPANSION OF THE BASS MUSEUM
This Amendment to the Agreement, dated March 31,1995, between the CITY OF MIAMI
B EACH, a Florida municipal corporation under the laws of the State of Florida (hereinafter referred
to as the City), having its principal offices at 1700 Convention Center Drive, Miami Beach, Florida
and SPILUS CANDELA & PARTNERS, INC, a Florida corporation having its principal offices at
800 Douglas Entrance, Coral Gables, Florida (hereinafter referred to as the Architect).
WITNESSETH:
WHEREAS, on July 28,1994, the Mayor and City Commission approved an agreement
between the City and Spillis Candela & Partners, Inc, for professional architectural services for the
renovation and expansion of the Bass Museum (Agreement), said approval conditioned upon the

NOW, THEREFORE, THE AGREEMENT IS HEREBY AMENDED AS FOLLOWS:
1.24 PROJECT BUILDING COMMITTEE (PROJECT COMMITTEE)
The City herein acknowledges that a portion of the cost of the Project will be paid from
Bass Museum fund-raising through the Friends of the Bass Museum. The City shall cooperate
with the Bass Museum Board of Trustees and the Friends of the Bass Museum to create an
independent committee to be known as the "Bass Museum Renovation and Expansion
Building Committee" (the Project Committee), It shall be the primary purpose of the Project
Committee to involve the Bass Museum Board of Trustees and Museum fundraisers, as
represented by and through the Friends of the Bass Museum, to assist and advise the City with
respect to the Project,
, The Project Committee's role shall
primarily include, but not be limited to, assisting and advising the City in review and approval
or disapproval of design and other documents, as same are to be submitted to the City by the
Architect and Design Consultant pursuant to the Agreement; assisting and advising the City
in review and approval or disapproval of estimates of construction costs and of change orders;
and assisting and advising the City in the preparation for construction bidding and the
administration of construction, It is contemplated that the Project Committee shall be an ad
hoc advisory body and that the creation of said Committee is not intended to supersede the
respective roles, obligations, responsibilities, approvals, and lor duties of the City Commission,
City Manager, and any other parties expressly stated under the Agreement. The Project
Committee shall be composed ofthree (3) members, to be mutually selected and agreed upon
by the City, the Bass Museum Board of Trustees and the Friends of the Bass Museum, and
endeavor to incorporate representation from the following entities:
(a) One member selected to represent the Bass Museum Board of Trustees;
(b) One member selected to represent the Friends of the Bass Museum;
(c) One member to represent the Bass Museum Administration (i.e., the Executive
Director of the Museum or an individual on a similar senior level);

In addition, the City may, at its discretion, appoint a member of the City
Commission as a fourth "ex officio" member to the Project Committee, The
role of said appointed Commissioner shall be primarily to review Committee
recommendations and convey status reports on the progress of the Project to the
Mayor and City Commission at its regular meetings,

shall remain the same in full force and effect,

BACKGROUND:
On July 28, 1994, the City Commission approved the Agreement between the City of
Miami Beach and Spillis Candela & Partners, Inc. for Professional Architectural Services for
the Renovation and Expansion of the Bass Museum. Section 1.24 of said Agreement
stipulates that a Project Building Committee (Project Committee) be created for the primary
purpose to involve the Bass Museum Board of Trustees and Museum fund raisers, as
represented by and through the Friends of the Bass Museum, to assist and advise the City
with respect to the project.

Administration is recommending for three (3) more appointments to be made to the
committee. These three (3) additional appointments require an amendment (first
amendment) to the Spillis Candela/Arata Isozaki Architecwral and Engineering Contract.
The three (3) additional appointments are representatives of the community and residents
of Miami Beach,
CONCLUSION:
The Administration recommends that the City Commission confinn the above-listed names
to the Project Committee and approve the first amendment to the ArchitecWral and
Engineering Contract,

A RESOLUTION OF THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH,
FLORIDA, AUTHORIZING THE MAYOR AND CITY
CLERK TO EXECUTE AN AMENDMENT TO THE
AGREEMENT BETWEEN THE CITY OF MIAMI
BEACH AND SPILUS CANDELA & PARTNERS, INC,
FOR PROFESSIONAL ARCIllTECfURAL SERVICES
FOR THE RENOVATION AND EXPANSION OF THE
BASS MUSEUM; SAID AMENDMENT PROVIDING
FOR THE INCLUSION OF THREE (3) MIAMI BEACH
RESIDENTS TO THE BASS MUSEUM RENOVATION
AND EXPANSION BillLDING COMMIITEE, UNDER
THE TERMS AND CONDITIONS PROVIDED IN THE
AGREEMENT.
WHEREAS, on July 28, 1994, the Mayor and City Commission approved an agreement
between the City and Spillis Candela & Partners, Inc, for professional architectural services for the
renovation and expansion of the Bass Museum (Agreement), said approval conditioned upon the
final review and incorporation of the comments of outside counsel, as retained by the City Attomey's
Office, specializing in architectural agreements involving the expansion and renovation of museums;
and
WHEREAS, pursuant to outside counsel's review of the Agreement, one of the
recommended inclusions therein provided for the creation of an ad hoc advisory body to the City,
to be known as the Bass Museum Renovation and Expansion Building Committee (the Project
Committee), whose primary purpose would be to involve the Bass Museum Board of Trustees and
Museum fundraisers, as represented by and through the Friends of the Bass Museum, to assist and
advise the City with respect to the Project; and

WHEREAS, as set forth in the Agreement, the original composition of the Project
Committee included one member selected to represent the Bass Museum Board of Trustees, one
member selected to represent the Friends of the Bass Museum, one member to represent the Bass
Museum Administration, and a fourth "ex officio" City Commissioner as a member; and
WHEREAS, upon careful consideration, and as a considerable sum of public monies are to
be expended in the Bass Museum Renovation and Expansion Project, it is the City's recommendation
that three citizen-at-large members, all residents of the City of Miami Beach, also be appointed to
the Project Committee, and that the Agreement be amended accordingly to reflect this change,
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City Clerk
are herein authorized to execute the attached Amendment to the Agreement between the City of
Miami Beach and Spillis Candela & Partners, Inc, for Professional Architectural Services for the
Renovation and Expansion of the Bass Museum; said Amendment providing for the inclusion of
three (3) Miami Beach residents to the Bass Museum Renovation and Expansion Building
Committee, pursuant to the terms and conditions provided in the Agreement.

CANDELA, INC. FOR PROFESSIONAL ARCmTECTURAL SERVICES FOR THE
RENOVATION AND EXPANSION OF THE BASS MUSEUM
This Amendment to the Agreement, dated March 31, 1995, between the CITY OF MIAMI
B EACH, a Florida municipal corporation under the laws of the State of Florida (hereinafter referred
to as the City), having its principal offices at 1700 Convention Center Drive, Miami Beach, Florida
and SPILUS CANDELA & PARTNERS, INC, a Florida corporation having its principal offices at
800 Douglas Entrance, Coral Gables, Florida (hereinafter referred to as the Architect),
WITNESSETH:
WHEREAS, on July 28,1994, the Mayor and City Commission approved an agreement

renovation and expansion of the Bass Museum (Agreement), said approval conditioned upon the

The City herein acknowledges that a portion of the cost of the Project will be paid from
Bass Museum fund-raising through the Friends of the Bass Museum, The City shall cooperate

with the Bass Museum Board of Trustees and the Friends of the Bass Museum to create an
independent committee to be known as the "Bass Museum Renovation and Expansion
Building Committee" (the Project Committee), It shall be the primary purpose of the Project
Committee to involve the Bass Museum Board of Trustees and Museum fundraisers, as
represented by and through the Friends of the Bass Museum, to assist and advise the City with
respect to the Project, In addition, as the construction of the Project will result in the
expenditure of a considerable sum of public monies, the City shall also have the responsibility
of obtaining representation from among selected members of the City of Miami Beach
community also to serve on the Project Committee. The Project Committee's role shall
primarily include, but not be limited to, assisting and advising the City in review and approval
or disapproval of design and other documents, as same are to be submitted to the City by the
Architect and Design Consultant pursuant to the Agreement; assisting and advising the City
in review and approval or disapproval of estimates of construction costs and of change orders;
and assisting and advising the City in the preparation for construction bidding and the
administration of construction, It is contemplated that the Project Committee shall be an ad
hoc advisory body and that the creation of said Committee is not intended to supersede the
respective roles, obligations, responsibilities, approvals, and lor duties of the City Commission,
City Manager, and any other parties expressly stated under the Agreement. The Project
Committee shall be composed of three (3) members, to be mutually selected and agreed upon
by the City, the Bass Museum Board of Trustees and the Friends of the Bass Museum, and
endeavor to incorporate representation from the following entities:
(a) One member selected to represent the Bass Museum Board of Trustees;
(b) One member selected to represent the Friends of the Bass Museum;
(c) One member to represent the Bass Museum Administration (i.e" the Executive
Director of the Museum or an individual on a similar senior level);
(d) Three (3) members, all City of Miami Beach residents, to represent the City of
Miami Beach community;
(eI)e In addition, the City may, at its discretion, appoint a member of the City
Commission as a fourth "ex officio" member to the Project Committee. The
role of said appointed Commissioner shall be primarily to review Committee
recommendations and convey status reports on the progress of the Project to the
Mayor and City Commission at its regular meetings,

shall remain the same in full force and effect.
IN WITNESS WHEREOF, the parties hereto have called this Amendment to the
Agreement to be executed by their duly authorized officials on the day first above indicated,
