BEACH, FLORIDA, APPROVING AND AUTHORIZING THE CITY MANAGER, OR IllS
DESIGNEE, TO SUBMIT A GRANT APPLICATION TO THE MIAMI DADE COUNTY
CULTURAL AFFAIRS COUNCIL FOR FUNDING CONSIDERATION UNDER THE 1999-
2000 TOURIST DEVEWPMENT COUNCIL (IDe) GRANTS PROGRAM, FOR
SUPPORT OF THE MIAMI BEACH FOURm OF JULY CELEBRATION 2000, IN THE
AMOUNT OF UP TO $25,000, WITH A MATCHING CONTRIBUTION FROM THE
VISITOR AND CONVENTION AUmORITY (VCA); ACCEPTING THE GRANT, IF
AWARDED; AND APPROPRIATING THE AWARDED FUNDS IN COMPLIANCE WITH
THE TERMS OF THE GRANT.
WHEREAS, the City and the Ocean Drive Improvement Association will hold the annual
4th of July Celebration on the beachfront at 12th Street and Ocean Drive on Tuesday, July 4,
2000, which will begin at 7:00 p.m., with a swearing-in ceremony for children from all parts of
the world that are newly naturalized citizens; and
WHEREAS, the United States Air Force "High Flight Concert Band will play throughout
the event and during the finale with a first class fireworks show launched from two barges in the
ocean; and
WHEREAS, Miami has an overwhelming appeal to the tourist as a favorite vacation
destination and our numerous tourist-related special events continue to enhance the community as
a whole; and
WHEREAS, the Miami-Dade County Tourist Development Council (TOC) Grants
Program provides support to promote Miami-Dade County's appeal as a tourist destination; and
WHEREAS, the Miami Beach Visitor and Convention Authority will match the
contribution.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission herein approve and authorize the City Manager, or his designee, to submit a grant
application to the Miami Dade County Cultural Affairs Council for funding consideration under
the 1999-2000 Tourist Development Council Grants Program, for support of the Miami Beach
Fourth of July Celebration 2000, in the amount of up to $25,000, with a matching contribution
from the Visitor and Convention Authority (VCA); accepting the grant, if awarded; an
appropriating the awarded fund in compliance with the terms of the grant.

by a concert by the US Air Force "High Flight Con Band," with a finale of first class fireworks,
This landmark event provides residents and visitors ith the traditional 4th of July Celebration in
the showcase tourist setting of the internationally ac laimed Art Deco District.
Media sponsorship for this event will include: SlUlShin Network (Statewide cable television); USA
Florida a "Fly and Drive" from across the State ofFlo da; The Miami Herald and EI Nuevo Herald,
WFOR CBS TV, and Clear Channel Communications the nation's largest radio chain. Contests will
run nationwide to win airfare and hotel accommoda ions to Miami for the celebration.

The Miami-Dade county Tourist Development Council (TDC) Grants Program provides support
to promote Miami-Dade County's appeal as a tourist destination by sponsoring tourist-oriented
sports events, cultural and special event. It is fitting and appropriate for the City of Miami Beach
to seek grant funding from the Tourist Development Corporation for this exciting July 4th
Celebration in the heart of the world famous Historic Art Deco District.

ARTICLE II
GENERAL CONDITIONS
WHEREAS, the Home Rule Charter authorizes Miami.Dade County to provide for the uniform health and
welfare of the residents throughout the County, and further provides that all functions not otherwise specifically
assigned to others under the Charter, shall be performed under the supervision of the County Manager or his
designee;
I. Parties: The parties to this agreement are the Grantee listed in Article I. and Miami-Dade County,
Florida, a political subdivision of the State of Florida. Miami-Dade County has delegated the responsibility of
administering this grant to the Director of the Miami-Dade County Department of Cultural Affairs, or his designee,
who shall be referred to herein as the "Director ."
2. Proiect Description: The grantee may only use the grant for the purposes which are specifically
described in Article 1.3 - Project Description as documented and attached hereto as Exhibit I and which corresponds
to the information presented in Exhibit I. and information submitted to the Department of Cultural Affairs in the
grantee's Community-Based Organization - Agency Profile, Tourist Development Council application andlor request
for County Financial Assistance. Minor project revisions which do not substantially alter the original project which may
be necessary for the purpose of completing the project, must be requested in writing to the Director. All
expenditures will be subject to the terms of this agreement and as specified in Exhibits 2A and 2B. the itemized Line
Item BucJget, or with changes not to exceed ten percent (10%) per category. so long as expenditures do not exceed
the total amount of grant funds.
3. Miami-Dade County Affidavits: The Grantee agrees to demonstrate awareness of and compliance
with requisite County policies pertaining to this Agreement by completing the Miami-Dade County Affidavits attached
hereto, Proper execution of the Affidavits require the Grantee to complete all blank spaces therein. indicating
compliance by initialing all affidavits that pertain to this Agreement, including the affidavit regarding doing business with
Cuba. and indicating by an "N/A" next to your initials all affidavits that do not pertain to this agreement. All
provisions and declarations reflected in the affidavits are included herein by reference.
4. ReDorts: This grant has been awarded with the expectation that the described project will enhance and
develop Miami-Dade County's cultural and lor tourism community. To demonstrate that the grant is fulfilling, or has
fulfilled. its purpose. the grantee must supply the Director with a written report documenting that the grantee has
fulfilled all requirements. This report is to be received by the Director according to the schedule listed under Article
I. 6, A Final Report form will be supplied to the grantee,
5, Amount of Grant and Payment Schedule: The total amount of the grant is specified in Article 1.2.
By making this grant, Miami-Dade County assumes no obligation to provide financial support of any type whatever in
excess of the total grant amount. Cost overruns are the sole responsibility of the grantee. The grant funds will be
supplied to the grantee on a reimbursement basis, subsequent to Board of County Commission approval of the award.
As a condition of receiving payment, the grantee agrees to provide to the Director or his designee. no more than 90
days after the event date. copies of original documentation conclusively demonstrating the expenditure of funds for
the items indicated in Exhibit 2A as Tourist Development Council expenses. Documentation shall include. but not be
limited to. copies of original bills. invoices, receipts. canceled checks clearly designating payment for expenses
associated with the event, (front and rear) and vouchers. The County reserves the right to request and receive
original documentation to substantiate grant expenditures for reimbursement from grant funds. Cash transactions are
not eligible for reimbursement under this grant unless a copy of a contract, invoice or other documentation
supporting such cash payment is received. marked "paid" and signed by the recipient of the cash.

If documentation as outlined above, is not received by the Director or if the documentation provided by the grantee
does not, in the sole and absolute determination of the Director, conclusively demonstrate that funds were expended
for the purposed allowed by this Agreement, the grantee shall waive any and all rights to receive payment of the grant.
Within forty-five (45) days of receipt of satisfactory documentation described and required by this Agreement, the
County shall reimburse the grantee for those expenditures which are indicated in Exhibit 2A as Tourist Development
Council expenses and which are supported by documentation conclusively demonstrating that the grantee expended
funds in connection therewith, in accordance with the provisions of this Agreement.
6. Pro!!ram Monitorini and Evaluation: The Director may monitor and conduct an evaluation of
operations and the project under this grant, which may include visits by County representatives to observe the project
or grantee's programs, procedures, and operations, or to discuss the grantee's programs with the grantee's personnel,
7. Bank Accounts and Bondin!!: Monies received pursuant to this agreement shall be kept in accounts
established in Miami-Dade County banks or savings and loan associations whose identities shall be disclosed in writing
to the Director with the identity and title of individuals authorized to withdraw or write checks on grant funds.
8. Accountin!! and Financial Review: The grantee must keep accurate and complete books and records
or all receipts and expenditures of grant funds in conformance with reasonable accounting standards. These books and
records, as well as all documents pertaining to payments received and made in conjunction with this grant, such as
vouchers, bills, invoices, receipts and canceled checks, shall be retained in Miami-Dade County in a secure place and in
an orderly fashion by the grantee for at least two (2) years after the Expenditure Deadline specified in Article 1.5.
These books, records, and documents may be examined by the Director or his designee at the grantee's offices during
regular business hours and upon reasonable notice. Furthermore, the Director may, at the County's expense, audit or
have audited, upon reasonable notice, all the financial records of the grantee, whether or not purported to be related
to this grant.
9, Publicity and Credits: The grantee must include the following credit line in news release.s and programs
related to this Grant: With the support of the Miami.Dade County Tourist Development Council, the
Miami.Dade County Department of Cultural Affairs, the Mayor and the Miami-Dade Board of County
Commissioners." Grantees are also encouraged to use the "TropiCool or Tropiculture" logo stat in marketing
and publicity materials, Please call the Department of Cultural Affairs to request the stat sheet if one has not been
included with this Agreement package.
Further, the grantee agrees, that should the amount of this grant exceed $10.000, grantee will confer upon the
Tourist Development Council a sponsorship package comparable to the sponsorship package provided to every other
grant or sponsor of the event who contributes a grant or funding in an amount equal to this grant. The sponsorship
package to be provided in Exhibit C and is incorporated herein by reference.
10. Liability and Indemnification: The grantee shall indemnify and hold harmless the County and its
officers, employees, agents and instrumentalities from any and all liability, losses or damages, including attorneys' fees
and costs of defense, which the County or its officers, employees. agents or instrumentalities may incur as a result of
claims, demands, suits, causes of actions or proceedings of any kind or nature arising out of. relating to or resulting
from the performance of this Agreement by the Grantee or its employees, agents, servants, partners, principals or
subcontractors, Grantee shall pay all claims and losses in connection therewith and shall investigate and defend all
claims, suits or actions of any kind or nature in the name of the County, where applicable, including appellate
proceedings, and shall pay all costs, judgments, and attorneys' fees which may issue thereon. Grantee expressly
understands and agrees that any insurance protection required by this Agreement or otherwise provided by Provider
shall in no way limit the responsibility to indemnify. keep and save harmless and defend the County or its officers.

If the grantee is a government entity, this indemnification shall only be to the extent and within the limitations
of Section 768.28 Fla. Stat.. subject to the provisions of that Statute whereby the grantee entity shall not be held liable
to pay a personal injury or property damage claim or judgment by anyone person which exceeds the sum of
$100,000, or any claim or judgment or portions thereof. which, when tocaled with all other claims or judgment paid by
the government entity arising out of the same incident or occurrence, exceed the sum of $200,000 from any and all
personal injury or property damage claims, liabilities, losses or causes of action which may arise as a result of the
negligence of the grantee entity.
II. Asshmment: The grantee is not permitted to assign this grant. and any purported assignment will be
void.
12. Compliance with Laws: The grantee agrees to abide by and be governed by all applicable federal. scate
county and local constitutions, statutes, charters, ordinances, regulations and other applicable laws and terms of grants
to Miami-Dade County of which this is a subgrant. including but not limited to Miami-Dade County's Ordinance No.
72-82 (Miami-Dade County's Conflict of Interest and Code of Ethics Ordinance) as amended. which is incorporated
herein by reference as if fully set forth herein.
It shall be a contractual obligation of the Grantee hereunder. that during the term of this Agreement. the
Grantee shall not engage in activity which constitutes "doing business with Cuba" as that term is defined in A.O, 3-12,
a copy of which is attached hereto and by this reference is incorporated herein
13. Remedies and Exoenditure Deadline: In the event the grantee shall fail to materially conform with
any of the provisions of this agreement. the Oireaor may withhold or cancel all. or any. unpaid inscallments of the
grant upon giving five (5) calendar days written notice to the grantee, and the County shall have no further obligation
to the grantee under this agreement. Further, in the event of a material breach of any term or condition of this
Agreement. upon (5) calendar days written demands by the Director. the grantee shall repay to Miami-Dade County
all portions of the grant which have been received by the grantee, but which have not actually been disbursed by the
grantee as of the date that the written demand is received. In the event that this grant is canceled or the grantee is
requested to repay grant funds because of a breach of this agreement, the grantee will not be eligible to apply to the
Miami-Dade County Department of Cultural Affairs or the Miami-Dade County Tourist Development Council for
another grant for a one year period commencing on the date the grantee is notified in writing of the breach of this
Agreement. Furthermore, for breach of the obligation not to do business with Cuba, the Grantee may be subject to
debarment.
The grantee will be liable to reimburse Miami-Dade County for all unaudiorized expenditures discovered after
the expiration of the grant period. The grantee will also be liable to reimburse the County for all lost or stolen grant
funds,
Any uncommitted grant funds which remain in the possession or under the control of the grantee as of the
date of the Expenditure Deadline specified in Article 1.5 must be returned to Miami-Dade County within 15 days after
the Expenditure Deadline; if such funds have been committed but not expended. the grantee must request in writing
from the Director an extension of the Expenditure Deadline for a period not to exceed one (I) year.
Grant funds which are to be repaid to Miami-Dade County pursuant to this Section are to be repaid by
delivering to the Director a certified check for the total amount due, payable to Miami-Dade County. Florida.
These provisions do not waive or preclude the County from pursuing any other remedy which may be
available to it under the law.
14 Induh!ence Will Not be Waiver of Breach: The indulgence of either party which party with regard
to any breach or failure to perform any provision of this agreement shall not be deemed to constitute a waiver of the
provision or any portion of this agreement either at the time the breach of failure occurs or at any time throughout
the term of this agreement.

15. Written Notices: Any written notices required under this agreement will be effective when delivered in
person or upon the receipt of certified letters addressed to the Grantee at the address specified in Article 1.1 of this
agreement, and to the Director when addressed as follows; Director. Miami-Dade County Department of Cultural
Affairs, III NW I st Street, Suite 625. Miami, Florida 33128.
16. Caotions Used in this Allreement: Captions. as used in this Agreement, are for convenience of
reference only and should not be deemed or construed as in any way limiting or extending the language or provisions
to which such captions may refer.
1 T Contract Represents Total Allreement: This contract, including its special conditions and exhibits,
represents the whole and total agreement of the parties. No representations. except those contained within this
agreement and its attachments, are to be considered in construing its terms. No modifications or amendments may
be made to this agreement unless made in writing signed by both parties. and approved by appropriate action by the
Board of County Commissioners.

ARTICLE III
SPECIAL CONDITIONS
The grant awarded to this organization is the result of an extensive public review process which found that
the organization is performing a public purpose through the programs, projects. and services recommended for
support. As such, use of these funds for any program component not meeting this condition will be considered a
material breach of the terms of this grant agreement and will allow Miami-Dade County to seek remedies including
but not limited to those oudined in the Articles of this Grant Agreement.
The grantee also accepts and agrees to comply with the following Special Conditions:
All funded activities must provide equal access and opportunity in employment and services and may not
discriminate on the basis of disability. race or ethnicity, color, creed. national origin or religion, age. gender, sexual
preference. in accordance with Title VII of the Civil Rights Act of 1964. the Age Discrimination Act of 1975 and Title
IX of the Education Amendments of 1972 as amended (42 USC 2000d et seq.). the Americas with Disabilities Act
(ADA) of 1990, and Section 504 of the Rehabilitation Act of 1973.
Grantee shall include on all significant promotional materials, print and electronic media. and programs,
information regarding accessibility of programs andlor facilities to persons with disabilities. This information may be in
the form of universally acceptable disability access symbols andlor practical language which clearly defines the
availability and type of accommodation or service for persons with disabilities. For assistance with this requirement,
please contact the Miami-Dade County Department of Cultural Affairs at (305) 375-4634.
ARTICLE IV
TERMINATION
If, for any reason, the grantee shall fail to fulfill in a timely and proper manner its obligations under this
Agreement, or should violate any of the covenants, agreements, or stipulations of this Agreement, the County shall
thereupon have the right to terminate this Agreement by giving written notice to the grantee of such termination and
specifying the effective date thereof. at least five days before the effective date of such termination.
Notwithstanding the above,. the grantee shall not be relieved of liability to the County by virtue of any breach
of the Agreement by the grantee. and the County may withhold any payments to the grantee until such time as the
exact amount of damages due the County from the grantee is determined.

Project Title:
An American Celebration 2000
The Revised Project Description is a complete description of the proposed project or event as approved by the Tourist
Development Council based on the original application. This Exhibit must be completed whether your project has
changed or not. If changes co your original description are necessary because the grant amount awarded is less that that
requested. describe the entire project with its proposed changes as well as a brief statement indicating the event's impact on
tourism in Miami-Dade County in the 'Dace crovided. Please include the number of events. date(s), participants. locations and
target audience co be served.
DESCRIPTION:
The City of Miami Beach will hold a naturalized citizenship swearing in ceremony for 25 selected children and
families followed by a 90-minute concert by the US Air Farce Concert Band. The culmination of thIS evening will
be a majestic firework display ~o a patriotic musical finale.
On July 4, 2000, An American Celebration 2000 will focus international attention on the unique tropical lifestyle of
Miami-Dade County. Centered on trend setting Ocean Drive, this event will showcase a patriotic unity among our
diverse population, contributing to a positive image of Miami-Dade across the world.
This national holiday festival has three events that occur under the stars at the 10th Street Beachfront auditorium.
First at 7:00 pm, newly naturalized citizens will participate in a swearing-in ceremony that truly honors the occasion
of American 'Independence. Second, the United States Air Force "High Flight" Concert Band will perform a 90-
minute set of popular melodies that will continue into the main event, a fantastic fireworks display. These fireworks
will provide splendid media images.
This event is a collaboration primarily between the City of Miami Beach, the Ocean Drive Improvement Association
and the Miami Herald. Media partners also include EI Nuevo Herald. WFOR-4 (CBS), Sunshine Newark, and
Clear Channel Communications, the nation's largest radio chain. These partners have provided direct and in-kind
support for the event and have supported related area hotel marketing events preceding the weekend.
This is an attractive tourist development project because of its high profile nature and because of its unifying
patriotic subject matter. Last year over 7 million guests visited Miami Beach, making it the 2nd most popular
Florida tourist destination, Over recent years, the Super Bowl and Millennium celebration have thrown Miami
Beach and thus the county into the international media limelight, creating a surge in visitors. Developments such
as the Loews Hotel, which provides over 800 jobs to county residents, were opened in anticipation that this rise in
tourism wi!! continue. This event is part of critical marketing to keep our City in the American consciousness as a
visitor destination.
An American Celebration 2000 will achieve its goals through its currently active implementation plan. First, the
City sought community, entertainment, media and corporate partners for this event early in January. Second, the
festival's content and budget were shaped through input with the partners and the community leaders in mid
February. Third, a marketing plan involving out of market promotions, advertising, and regional media campaigns
was developed in early March. Fourth in mid March, a comprehensive funding plan involving grants, contributions
and in-kind support was tailored to meet the festival's goal of creating a vibrant unique image of our tropical
lifestyle and unified community. Lastly event details, final promotions and funding will be finished throughout April,
May and June,
An American Celebration 2000 is part of the 2000 All American Weekend, a promotion incentive marketing
campaign targeting the 4th of July and preceding 3 day holiday weekend. The Greater Miami Visitors and
Convention Bureau, the Miami Beach Chamber of Commerce, and the City of Miami Beach will follow their
success with the recent Millennium weekend to generate tourism. The event will be widely publicized including
the appealing beach setting with nostalgic patriotic music and the unsurpassable media image of fanatic fireworks
display above ocean waters.
Note: Funding limitations had a significant impact on the proposed activities. Limited funding prevented the City
of Miami Beach from leasing tents that would have provided shelter in the case of poor weather conditions.
