A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE
CITY OF MIAMI BEACH, FLORIDA, APPROPRIATING FUNDS, IN THE
AMOUNT OF $600,000, FROM THE CONVENTION DEVELOPMENT
TAX FUND 442, TO FUND THE FOLLOWING: ADDITIONAL SCOPE
OF WORK (PHASE II - LIMITED SCOPE), NOT ORIGINALLY
INCLUDED WITHIN THE JACKIE GLEASON THEATER ADA AND
INTERIOR IMPROVEMENTS PROJECT (PROJECT); ASSOCIATED
CHANGE ORDER TO MIAMI SKYLINE CONSTRUCTION CORP.
(MIAMI SKYLINE) FOR SAID WORK; TO FURTHER FUND
ADDITIONAL DESIGN FEES, ADDITIONAL PROJECT
CONTINGENCY, AND ADDITIONAL SOFT COSTS ASSOCIATED
WITH SAID ADDITIONAL WORK; AND TO FURTHER FUND CHANGE
ORDERS ASSOCIATED WITH PHASE I OF THE PROJECT, DUE TO
UNFORESEEN CONDITIONS ENCOUNTERED BY MIAMI SKYLINE
DURING EXECUTION OF THE CONSTRUCTION WORK.
WHEREAS, in 1996, the City retained the Architectural firm of R.J. Heisenbottle Architects,
P.A. to conduct a survey of both the Jackie Gleason Theater of the Performing Arts (TOPA) and the
Miami Beach Convention Center (MBCC) to identify those areas that were not in compliance with
the provisions of the Americans with Disabilities Act (ADA) (the Project); and
WHEREAS, on February 9,2000, an Agreement was executed between the City and A.R.1.
Architects, Inc. (d/b/a: SKLARchitecture) (Consultant), for design services to undertake this Project;
and
WHEREAS, at the City Commission meeting of February 25, 2004, the Mayor and City
Commission awarded the Construction Contract for the Jackie Gleason Theater of the Performing
Arts ADA and Public Interior Design Enhancement Renovations pursuant to Invitation to Bid No.1 0-
03/04, in the amount of $1 ,975,000, to Miami Skyline (Contractor); and
WHEREAS, the City Commission further directed the Administration to negotiate Alternate
#4 (Phase II) with the Contractor, or utilize the City's Job Order Contracting (JOC) Program, should
additional funds become available, and should the City decide to pursue those improvements at a
later date; and
WHEREAS, during the construction, the Contractor encountered unforeseen conditions,
resulting in additional scope of work; and
WHEREAS, at the City Commission meeting of May 16, 2007, the City Commission
approved and authorized the Mayor and City Clerk to execute an Agreement with Live Nation for the
management and operation of TOPA; and
WHEREAS, pursuant to the above, the City has agreed to proceed with the improvements of
two (2) of the restrooms included within Phase II (Alternate #4); estimated to be completed by
November 2007, to meet Live Nation's event schedule; and
WHEREAS, the City has opted to proceed with these improvements with the Contractor; and
WHEREAS, the City seeks authorization to appropriate additional funds, in the amount of
$600,000; and
WHEREAS, these funds will finance the construction cost, construction contingency, design
fees, and additional soft costs associated with the additional scope of work (Phase II-limited scope
at this time), estimated at $350,000; and
WHEREAS, additionally, these funds will finance Change Orders, in the estimated amount of
$112,653, associated with Phase I of the Project (as a result of unforeseen conditions experienced
during the construction of Phase I of the Project).
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF
THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City Commission hereby approves the
appropriation of funds, in the amount of $600,000, from the Convention Development Tax Fund 442,
to fund the following: additional scope of work (Phase II - limited scope), not originally included
within the Jackie Gleason Theater ADA and Interior Improvements Project (Project); associated
change order to Miami Skyline Construction Corp. (Miami Skyline) for said work; to further fund
additional design fees, additional Project contingency, and additional soft costs associated with said
additional work; and to further fund Change Orders associated with Phase I of the Project, due to
unforeseen conditions encountered by Miami Skyline during the execution of the construction work.

Item Summarv/Recommendation:
In 2000, an Agreement was executed between the City and SKLARchitecture (Consultant), for design
services to make improvements to both the Jackie Gleason Theater of the Performing Arts (TOPA) and
the Miami Beach Convention Center to comply with the provisions of the Americans with Disabilities Act
(ADA). In 2004, the Mayor and City Commission awarded the contract (Base Bid and Alternate #1; Phase
I) to Miami Skyline Construction Corp. (Contractor), and further directed the Administration to negotiate
Alternate #4 (Phase II) with the Contractor, or utilize the City's Job Order Contracting (JOC) Program,
should additional funds become available and should the City decide to pursue those improvements at a
later date (Resolution No. 2004-25503). During the construction, the Contractor encountered unforeseen
conditions resulting in additional scope of work. The Administration seeks authorization to execute
applicable change orders upon successful negotiations and upon approval of additional appropriation of
funds. Additionally, at the City Commission meeting of May 16,2007, the City Commission approved and
authorized the Mayor and City Clerk to execute a Management Agreement with Live Nation Worldwide,
Inc. Live Nation intends to occupy and close the facility to the public for renovations by the middle of June
2007. Proposed improvements, as well as staffing efforts, will proceed through the balance of the
summer. Pursuant to the above, the City has agreed to proceed with the improvements of two (2) of the
restrooms included within Phase II (Alternate #4) at this time to be completed by November 2007, to meet
Live Nation's event schedule. The City has opted to proceed with these improvements with the current
Contractor. Should Live Nation and the City decide to proceed with additional improvements including, but
not limited to, the remaining Phase II improvements, a separate timeline will need to be negotiated
between the City and Live Nation. The Administration seeks authorization to negotiate such improvements
with Live Nation, and furthermore, the Administration seeks authorization to negotiate with Miami Skyline
Construction Corp. for the construction of these future improvements. Finally, the City seeks authorization
to appropriate additional funds in the not to exceed amount of $600,000. These funds will finance the
construction cost, construction contingency, design fees, and additional soft costs associated with the
additional scope of work (Phase II - limited scope at this time). Additionally, these funds will finance
change orders associated with Phase I of the Project as a result of unforeseen conditions experienced
during the construction of Phase I of the Project. The Administration recommends approval of the
Resolution.

FUNDING
Funding to be appropriated from the Convention Development Tax Fund 442.
ANALYSIS
In 1996, the City retained the Architectural firm of R.J. Heisenbottle Architects, P.A to
conduct a survey of both the Jackie Gleason Theater of the Performing Arts (JGT) and the
Miami Beach Convention Center (Convention Center) to identify those areas that were not in
compliance with the provisions of the Americans with Disabilities Act (ADA). As a result of
this study, the City budgeted funds to renovate certain restrooms at the Miami Beach
Convention Center and the JGT to bring both buildings into compliance with the requirements
of the ADA
On February 9,2000, an Agreement was executed between the City and AR.1. Architects,
Inc. (d/b/a: SKLARchitecture, (Consultant) for design services to undertake this project.
On March 3, 2003, Invitation to Bid No. 27-02/03 was issued for the JGT ADA and Interior
Renovations.

At the City Commission meeting of February 25, 2004, the Mayor and City Commission
awarded the contract (Base Bid and Alternate #1; Phase I) to Miami Skyline Construction
Corp. (Miami Skyline), the second lowest bidder, and further directed the Administration to
negotiate Alternate #4 (Phase II) with Miami Skyline, or utilize the City's Job Order
Contracting (JOC) Program, should additional funds become available, and should the City
decide to pursue those improvements at a later date. The lowest bidder, Tran Construction,
Inc., was deemed non responsive pursuant to Section 2-487(A) (3) of the City Code.
A second Notice to Proceed for the Project was issued on May 4, 2004, and reached
Substantial Completion on December 10, 2004. While executing the construction scope of
work, the Contractor encountered unforeseen conditions resulting in additional scope of
work. Change Orders 1 through 4 were funded through previously appropriated Project's
contingency. Change Orders 5 through 9, although also funded through the previously
appropriated Project's contingency, are pending execution due to the availability of said
funds. Therefore, the Administration seeks authorization to execute said change orders upon
successful negotiations and upon approval of additional appropriation of funds. Additionally,
the Contractor experienced extended General Conditions as a result of the unforeseen
conditions encountered and interruption of work schedules as a result of events at the JGT
that impacted the progress of the work resulting in Change Order 10. Said change order is
currently being negotiated; therefore, it is not included within the current funding
appropriation, but will be presented to the City Commission at a later date.
On February 25, 2004, a contingency of 10% was approved for the Project per Resolution
No. 2004-25503. Since then, the City has noted that for projects such as these (extensive
renovations of existing facilities), a ten percent (10%) contingency is not sufficient to cover
unforeseen conditions, and determined that, a twenty percent (20%) contingency allowance
should be allotted for. The total estimated aggregate amount for Change Orders 1 - 10, for
the renovations of Phase I of the Project would not exceed seventeen percent (17%).
During a Special Commission Meeting, the City Commission made its decision to maintain
the Facility as a single night or limited run rental venue that would be managed by an
international live entertainment company that would incur the risk of programming for the
facility, while guaranteeing the City a base return. Resolution No. 2006-26377, authorized the
Administration to negotiate with Live Nation Worldwide, Inc., a publicly-traded company, that
manages and operates live venues, and promotes and produces live entertainment events.
At the City Commission meeting of May 16, 2007, the City Commission approved and
authorized the Mayor and City Clerk to execute a Management Agreement with Live Nation
Worldwide, Inc. Live Nation intends to occupy and close the facility to the public for
renovations by the middle of June 2007. Proposed improvements, as well as staffing efforts,
will proceed through the balance of the summer. Live Nation proposes to reopen the facility
as the "Fillmore Miami Beach at the Jackie Gleason Theater" this Fall.
Pursuant to the above, the City has agreed to proceed with the improvements of two (2) of
the restrooms included within Phase II (Alternate #4) at this time. Per Live Nation's event
schedule, the work needs to be completed by November 2007. Pursuant to Resolution No.
2004-25503, the City has opted to proceed with these improvements with Miami Skyline, and
upon successful negotiations, issue a change order to Miami Skyline for this work. Should
Live Nation and the City decide to proceed with additional improvements including, but not
limited to, the remaining Phase II improvements, a separate timeline will need to be
discussed between the City and Live Nation.
Finally, the City seeks authorization to appropriate additional funds in the amount of
$600,000. These funds will finance the construction costs, construction contingency, design

fees, and additional soft costs associated with the additional scope of work (Phase II -
limited scope at this time) estimated at $350,000. Additionally, these funds will finance
change orders associated with Phase I of the Project as a result of unforeseen conditions
encountered during the construction of Phase I of the Project (refer to Attachment "A"). Also,
an additional estimated amount of funds are being requested within the City's Fiscal Year
(FY) 07/08 Capital Budget Plan to fund additional future improvements, should the City
decide to pursue them. Any portions of the $600,000 not utilized, will be used in the Project's
budget for future improvements.
CONCLUSION
Based on the analysis, the Administration recommends that the City Commission appropriate
funds, in the amount of $600,000, from the Convention Development Tax fund 442; said
appropriation to fund additional scope of work (Phase II - limited scope), not originally
included within the Jackie Gleason Theater ADA and Interior Improvements Project; and said
appropriation to further fund the associated change order to Miami Skyline Construction
Corp., pursuant to Resolution No. 2004-25503; and said appropriation to further fund
additional design fees, Project contingency, and soft costs associated with this work; and
said appropriation to further fund change orders associated with Phase I due to unforeseen
conditions encountered by Miami Skyline during the execution of the construction work.
