A RESOLUTION OF THE MAYOR AND CITY COMMISSION
OF THE CITY OF MIAMI BEACH, FLORIDA, APPROVING
AND AUTHORIZING THE MAYOR AND CITY CLERK TO
EXECUTE AMENDMENT NO. 4 TO THE AGREEMENT
WITH BROWN AND BROWN ARCHITECTS, IN THE
AMOUNT OF $73,180, FOR ADDITIONAL SERVICES FOR
ON-SITE INSPECTION, FOR CONSTRUCTION
ADMINISTRATION BEYOND THE ORIGINAL TIME, AND
FOR DESIGN SERVICES NOT IN THE ORIGINAL SCOPE
OF WORK AT THE MIAMI BEACH CONVENTION CENTER
AND THE JACKIE GLEASON THEATER OF THE
PERFORMING ARTS; AND THAT FUNDS FOR THIS
ACTIVITY BE TRANSFERRED FROM THE CONVENTION
CENTER FLOOR RESEALING ACCOUNT AND
APPROPRIATED FOR THIS PURPOSE.
WHEREAS, on April 17, 1996, the Mayor and City Commission authorized Phase I of a
Professional Services Agreement with Brown and Brown Architects, formerly known as The
Architects Partnership of Brown & Brown (Brown & Brown), for the testing and evaluation of the
roofs at the Miami Beach Convention Center (MBCC) and the Jackie Gleason Theater of the
Performing Arts (TOPA); and
WHEREAS, on July 8, 1996, a Professional Services Agreement (Agreement) was executed
with Brown and Brown to develop construction documents for the repairlreplacement of the said
roofs; and
WHEREAS, the findings of the Phase I report were presented to the Mayor and City
Commission on June 18, 1997, at which time Brown & Brown was authorized to proceed with Phase
II of the Agreement and prepare bidding documents for the repair and/or replacement of the roofs;
and
WHEREAS, on November 4, 1998, the Mayor and City Commission, as recommended by
a Blue Ribbon Committee, awarded a contract to Weiss & Woolrich Southern Enterprise, Inc., in
the amount of $7,245,000, pursuant to Bid. No. 44-97/98, for the complete roof replacement at the
Miami Beach Convention Center and the Jackie Gleason Theater of the Performing Arts; and
WHEREAS, on May 12, 1999, the Mayor and City Commission approved Amendment No.
1 to the Agreement, in the amount of $70,000; and
WHEREAS, on July 21, 1999, the Mayor and City Commission approved Amendment No.
2 to the Agreement, in the amount of$34,142; and
WHEREAS, on November 17, 1999, the Mayor and City Commission approved
Amendment No.3 to the Agreement, in the amount of$35,OOO, for professional services to evaluate
the requirements for 23 air conditioning units, and to prepare bid and construction documents for the
procurement of replacement units; and
WHEREAS, the construction period of the project has been extended, necessitating extra
costs for on-site inspection and for construction administration services, and it is desired to replace
the roof over the East Atrium of the Convention Center which was not a part of the original project
scope; it is therefore necessary to approve an Amendment No.4 to the Agreement.
NOW, THEREFORE BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission approve and authorize the Mayor and City Clerk to execute Amendment No.4 to the
Agreement with Brown and Brown Architects, in the amount of$73,180, for additional services for
on-site inspection, for construction administration beyond the original time, and for design services
not in the original scope of work at the Miami Beach Convention Center and the Jackie Gleason
Theater of the Performing Arts; and that funds for this activity be transferred from the Convention
Center Floor Resealing Account and appropriated for this purpose.

ADMINISTRATION RECOMMENDATION
Adopt the Resolution.
AMOUNT AND FUNDING
Funding is available from the Convention Center Capital Plan Floor Resealing Account; this project
has been postponed until next fiscal year. The $73,180 in Budget Code No. 441.2215.069358 will
be transferred to the Convention Center Roof Replacement Account, Budget Code No.
441.2191.069358.
ANALYSIS
On July 8, 1996 a Professional Services Agreement was executed between the City and Brown and
Brown Architects, (formerly known as: The Architects Partnership of Brown & Brown) (Brown &
Brown), to evaluate the roofs of the Miami Beach Convention Center (MBCC) and the Jackie
Gleason Theater of the Performing Arts (TOPA), and to develop construction plans, specifications
and bidding documents for the repair or replacement of the roofs at MBCC and TOP A.
On November 4,1998, the Mayor and City Commission awarded a contract to Weiss and Woolrich
Southern Enterprises, Inc., in the amount of $7,245,000, pursuant to Bid No. 44-97/98, for the
replacement of the roofs at MBCC and TOP A, with a project time of 300 days.

The Professional Services Agreement with Brown and Brown provided for construction
administration services to be provided during the normal time for the construction ofthe proposed
project. As a result of delays due to inclement weather as well as work suspensions requested by
Convention Center Management to avoid disturbance of shows and events at the Convention Center
and at TOP A, the Administration has requested that the completion date for the project be extended
by 160 days.
The attached Amendment No.4 to the Professional Services Agreement will provide the following
changes:
a. The Mayor and City Commission, following the recommendation of the Blue Ribbon
Committee for the Roofing Project, directed the Administration to retain a full-time inspector
for the duration of the project. The Professional Services Agreement with Brown and Brown
was amended to provide for the services of a qualified full-time roofing inspector for the
project. This Amendment will extend the services of this inspector for the additional 160
days of the project. The additional cost ofthis activity will be $37,280.
b. Extend the construction administration services of Brown and Brown through the completion
of the project. The cost of these services will be $28,000.
c. At the time of the original study of the roof, the metal roof over the East Atrium area of the
Convention Center (the main entrance on Washington Avenue) was not leaking, as a
consequence, this section of the roof was not included in the original Scope of Work for the
project. Over the last four (4) years this area has developed leaks which are now damaging
the ceiling and walls of the East Atrium area. Convention Center Management has requested
that we include the replacement of this section in the scope of the current roof replacement
project. For additional professional services for this portion of the roof, Brown and Brown
has requested a fee of: $7,900.
The total cost of these items is $73,180.
The project contingency account has been allocated to construction cost extras resulting from
unforeseen events, therefore, it is recommended that funding for this activity be transferred from the
Convention Center Floor Resealing Account, as this project has been deferred until next fiscal year.
The Administration recommends that the Mayor and City Commission adopt the Resolution
approving and authorizing the Mayor and City Clerk to execute Amendment No.4 to the Agreement
with Brown and Brown Architects, in the amount of $73,180, for additional services for on-site
inspection, for construction administration beyond the original time, and for design services not in
the original Scope of Work at the Miami Beach Convention Center and the Jackie Gleason Theater
of the Performing Arts; and that funds for this activity be transferred from the Convention Center
Floor Resealing Account, and appropriated for this purpose.

BROWN)
DESIGN SERVICES FOR THE REPLACEMENT OF THE METAL ROOF DECK
OVER THE EAST ATRIUM AREA; AND CONTINUATION OF CONSTRUCTION
ADMINISTRATION AND INSPECTION SERVICES FOR THE MIAMI BEACH
CONVENTION CENTER (MBCC) AND THE JACKIE GLEASON THEATER OF THE
PERFORMING ARTS (TOP A)
This Fourth Amendment, dated as of July 26 ,2000, to that certain Agreement, dated
July 8, 1996, by and between the City of Miami Beach, Florida (City) and Brown and Brown
Architects (formerly known as The Architects Partnership of Brown & Brown) (Consultant).
WHEREAS, the Agreement provided for the preparation of a Phase I, Evaluation and Scope
of Work Definition for the Roof Repairs/Replacement at the MBCC and TOPA; and
WHEREAS, the Agreement also provided for a Phase II, preparation of Construction
Documents, Specifications, Bidding and Construction Administration upon completion of Phase I;
and
WHEREAS, Phase I and Phase II have been completed, and the Project was bid and
awarded, and is now in construction; and
WHEREAS, the City desires to replace the roof of the section of the Convention Center
Roof covering the East Atrium area, and wishes Brown and Brown to provide professional services
for this purpose; and
WHEREAS, the City desires to extend the Agreement with Brown and Brown for the
provision of construction administration and inspection services for an additional period as specified
herein.
1. ABOVE RECITALS
The above recitals are true and correct and are incorporated as a part of this Fourth
Amendment.
2. MODIFICATIONS
The Agreement is amended to add the additional services as described in Exhibit "A-I,"
entitled Scope of Services/Compensation for Additional Services attached hereto.
3. OTHER PROVISIONS.
All other provisions of the Agreement, as amended, are unchanged.
4. RATIFICATION.
The City and Consultant ratify the terms ofthe Agreement, as amended, as modified by this
Fourth Amendment.

executed in their names by their duly authorized officials as of the date first set forth above.

Scope of Services/Compensation
Scope of Services:
1. Brown and Brown Architects propose to undertake the following work on the Roof over the
East Atrium area of the Miami Beach Convention Center:
Prepare the construction documents for the installation of the required new roof on the area
over the East Atrium area of the Convention Center. (Excluding the area with translucent
Kalwall panels)
Review any shop drawings submitted by the installer.
Respond to any requests for information.
Conduct periodic site visits during the construction period.
Review and approve Certifications for Payment during the construction process.
Compensation:
Total fee for the above described work: $7,900. Fee is payable upon submission of
Construction Documents and Specifications.
2. Amendment No.1 to the Professional Services Agreement with Brown and Brown provides
for the services of a qualified full-time roofing inspector for the project. The services of this
inspector are hereby extended for up to an additional 160 days of construction of the project.
Compensation:
The fee for this activity will be a maximum of.$37,280, based on a rate of$233/day.
3. The Professional Services Agreement with Brown and Brown provides for construction
administration services for the project. These services are hereby extended for up to an
additional 160 days of construction of the project.
Compensation:
The fee for this activity will be a maximum of.$28,000, based on a rate of$175/day.
