A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF MIAMI BEACH ARPROVING EXECUTION OF
FIRST AMENDED INTERLOCAL AGREEMENT WITH DADE
COUNTY, FLORIDA WITH REFERENCE TO SPECIAL
OBLIGATION BONDS (MIAMI BEACH CONVENTION

WHEREAS, pursuant to Chapters 163 and 166, Florida Statutes,
the Ci ty Cornmiss ion has the author i ty to enter into Inter local
Agreements with other public agencies; and
WHEREAS~- the City Commission entered into an Interlocal
Agreement with Dade County for the purpose of financing Phase I of
the Convention_Center expansion; and
WHEREAS, ~he parties have need to amend the Interlocal
Agreement for purposes of delineating the County's pledge, if it
deems it nece~sary for the purpose of marketing the Bonds. of its
enti t1ement to the Local Government Half Cent Sales Tax Revenues
and all other changes necessary to ensure that in the remote
possibility of utilizing the Secondary Pledge, the County will be
repaid from future convention development tax revenues; and
WHEREAS,
the
Tourist
and
Convention
Center
Expansion
Authority on November 12, 1985, recommended to the City Commission
that
the
Commission
approve
the
First
Amended
Interlocal
Agreement,
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF MIAMI BEACH, FLORIDA that the Mayor is authorized to
execute the First Amended Interlocal Agreement with Dade County,
Flor ida with reference to Special Obligation Bonds (Miami Beach
Convention Center Expansion Project).

BY AND BETWEEN
DADE COUNTY, FLORIDA AND THE CITY
OF MIAMI REACH, FOR THE FINANCING OF
EXPANSIONS AND IMPROVEMENTS TO
THE MIAMI BEACH CONVENTION CENTER
THIS -FIRST AMENDED INTERLOCAL AGREEMENT, made and entered
into this 20th
day of November
, 1985. by and between DADE
COUNTY, FLORIDA (the "County"), a political subdivision of the
State of Fl.grida, and the CITY OF MIAMI BEACH, FLORIDA (the
"City"), a municipality organized and existing under the laws of
the State ~f Florida, amends the Inter1oca1 Agreement dated
December 20, 1984 (the Interlocal Agreement and this First Amended
interloca1 Agreement are referred to herein collectively as the
"Interlocal Agreement").

WHEREAS, Chapter 83-354, Laws of Florida (1983), as amended
by Chapter 84-67,
Laws of Florida
(1984)
(together,
the
"Convention Development Tax Act"), authorizes the County to levy a
three percent (3%) convention development tax (the "Convention
Development Tax"), on the amount of any payment made by any person
to rent, lease or use for a period of six (6) months or less, any
living quarters or accommodations in a hotel, apartment hotel,
motel, resort motel, apartment, apartment motel, rooming house,
tourist or trailer camp, or condominium, except payments made by a
person to rent, lease or use any living quarters or accomodations
which are exempt under Part I of Chapter 212, Florida Statutes
(1983), as amended; and
WHEREAS, ,the Convention Development Tax Act authorizes
two-thirds (2/3) of the receipts of the Convention Development Tax
(the "City's Share") to be used to extend, enlarge and improve the
largest existing publicly-owned convention center in the County;
and
WHEREAS, the Miami Beach Convention Center (the "Convention.
Center"), is the largest existing publicly-owned convention center
in the County; and

< WHEREAS, Section 163,01, Florida Statutes (1983) and the
Metropolitan Dade County Home Rule Charter, as amended, permit the
County, and Section 163.01, Florida Statutes (1983), permits the
City to establish interlocal agreements with other localities; and
WHEREAS, the City has requested that the County issue special
obligatfon bonds of the County, the proceeds thereof to b~
utilized by the City for the extension, enlargement and
improvement of the Convention Center; and
WHEREAS ,.- the County has enacted Ordinance No,
Ordinance, ~ amended by Ordinance No. 84-43,
83-91, which
imposes the
Convention Development Tax in Dade County pursuant to the
Convention Development Tax Act; and
WHEREAS, the County and the City desire to set forth their
agreement relating to the use of the City's Share, the issuance of
the Bonds by the County for the benefit of the City, and the
respective rights, duties, and obligations of the City and the
County; and ~
WHEREAS, the County enacted Ordinance No. 84-83, as amended
by Ordinance No. 85-63, authorizing the issuance of the Bonds (the
"Bond Ordinance"); and
WHEREAS, the Bonds have been validated by the Circuit Court
by an order dated May 24, 1985;
NOW, THEREFORE, in consideration of the mutual promises and
covenants herein contained, it is agreed as follows:
Section 1. The County hereby agrees to issue its special
obligation bonds in an aggregate principal amount not to exceed
$80,000,000 (the "Phase I Bonds"), the proceeds of the Phase I
Bonds to be used to pay the costs of extending, enlarging and
improving the Convention Center (the "Phase I Project"), and to
pay the costs of issuance thereof. A description of the Phase I
Project is attached hereto as Exhibit 1 and incorported herein.
Section 2. The County hereby covenants to use its best
efforts to issue the Phase I Bonds as soon as practicable. The
issuance of such Phase I Bonds shall not be contingent upon the

'preparation of final plans and specifications for the Phase I
Project.
Section 3,
The County may, in its discretion, issue
completion. bonds for completion of the Phase I Project (the
"Completion Bonds") at the request of the City, in the event that
the proceeds of the Phase' I Bonds shall be insufficient to

complete the Phase I Project, provided that the projected revenues
of the Convention Development Tax are sufficient to meet the
additional debt service obligation incurred by the County as a
result of th~ Completion Bonds.
Section 4. The County may issue additional bonds (the

"Additional Bonds") at the request of the City for future projects
~or the enlargement, extension and improvement of the Convention
Center (the Phase I Bonds, the Completion Bonds and the Additional
Bonds are bereinafter sometimes collectively referred to as the
"Bonds") ,
Prior to the County authorizing the issuance of the
Additional Bonds the City shall deliver to the County a
feasibility study prepared by a nationally recognized independent
consultant which feasibility study shall forecast that the
revenues generated by the City's Share shall be sufficient to pay
principal of and interest on the Phase I Bonds, Completion Bonds
and Additional Bonds, if any, and to comply with the' covenants
contained in the Bond Ordinance,
Section 5,
For so long as any Bonds issued hereunder
remain outstanding, the City hereby irrevocably assigns the City's
Share of the Convention Development Tax revenues to the Trustee
(as defined in the Bond Ordinance) as security for the holders of
the Bonds and directs that such Convention Development Tax
revenues shall be deposited by the County with the Trustee for
application with respect to the Bonds as set forth in the Bond
Ordinance and herein.
Section 6,
As a secondary source of funds to pay the
principal, premium, if any, and interest on the Bonds, the County
agrees, if it deems it necessary for the purpose of marketing the
Bonds,to pledge its entitlement to the Local Government Half Cent

-Sales Tax collected in the County. by the State of Florida on a
basis subordinate to the commitment of such revenues to satisfy
the County's Sales Tax Revenue Bonds, Series A and any additional
Sales Tax Revenue Bonds issued hereafter, for the security of the
owners of the Bonds. If and at such time as the City's Share for
a period of. five consecutive years equals or exceeds 1.25 times
the amount-necessary to meet the County's annual debt service on
all Bonds then outstanding, then the County's secondary pledge of
its Local Government Half Cent Sales Tax revenues shall be
released,

The County and the City agree that under no circumstances
shall the aounty be required to maintain a special fund, account
or balance, nor shall the revenues received by the County from the
aforesaid source be subject to any restriction on their use by the
County pending a deficiency in the City's share to meet principal

and interest payment on the Bonds, In the event that it ever
becomes necessary for the County to use its entitlement."to the
Local Government Half Cent Sales Tax revenues to meet principal
and interest payments on the Bonds, the County shall be reimbursed
from subsequent years' collections of the City's Share after the
current years' required deposits to the Bond Service, Bond
Redemption, Bond Reserve and Bond Administration Accounts are
satisfied,
Section 7,
Any Bonds issued by the County hereunder shall
not constitute a pledge of the County's or the City's ad valorem
taxing power or of the full faith and credit of the County or the
City, but are and shall be limited obligations of the County
payable by the County solely from the City's Share or the
secondary pledge of the County's Local Government Half Cent Sales
Tax revenues as provided herein,
Section 8,
The County and the City agree that the City's
Share, after receipt from the State and deposit into the Dade
County Convention Development Trust Fund established by the County
pursuant to the Convention Development Tax Act and Ordinance No.
83-91, as amended, shall be remitted to the Trustee for

application in accordance with the Bond Ordinance, to the
following accounts until their requirements have been satisfied
for each Bond Year:
Bond Service Account
Redemption Account
Reserve Account
Bond Administration Account
Reimbursement Account
Renewal and Replacement Account
with any relllainder of the City's Share being deposited to the
Redemption Account to be applied to the redemption of Bonds, as
all further hereinafter provided in the Bond Ordinance. Such
monies shall be applied by the Trustee only for those purposes and
in the manner set forth in the Bond Ordinance until all Bonds
issued hereunder have been paid.
Section 9. Moneys held pursuant to the Bond Ordinance
shall be continuously invested and reinvested in any investments
which are legal investments for moneys of the County or of the
Ci ty, upon the written direction of the Finance Director of the
County or his designee. The proceeds of any such investments or
reinvestments shall be used in accordance with the provisions of
the Bond Ordinance.
Section 10, The City shall be solely responsible for
determining the concept, location, program, and design of the
Phase I Project, The City shall be responsible for the bidding of
contracts with respect to the Phase I Project and for the award of
said contracts and shall have control of the supervision,
administration and construction of the Phase I Project. The
County shall be afforded an opportunity to review the plans,
specifications and construction documents prior to the
advertisement for said construction project. Provided, however,
that the Trustee shall only withdraw moneys from the Trust fund,
upon the receipt of joint authorizations from the City and the
County, to pay for costs of construction of the Phase I Project,
in accordance with the provisions of the Bond Ordinance,

Section 11.
The City agrees to fully cooperate with the
County, its staff, financial advisors and the underwriters in
regard to the marketing of the Bonds, including providing
information,
attending meetings
and
preparing
an .official
statement,
The County, after consultation with the City, shall
determine the appropriate method, time and manner for selling the
Bonds, i~;luding the desirability of having the Bonds insured
and/or rated,
Section' 12.
This Interlocal Agreement shall be and remain
in effect fOr so long as any Bonds are outstanding, The County
and the City covenant and agree that they shall not take any
action adversely affecting the Convention Development Tax that
will impair the City's Share with regard to the repayment of these
Bonds.
Section 13,
The City hereby covenants and agrees that it
will reimburse the County, but solely from receipts of the

Convention Development Tax and/or the proceeds of the Bonds and
only after payment of the principal of and interest on the bonds
outstanding shall have been made or duly provided for each fiscal
year of the County, for all the reasonable and necessary expenses
incurred by the County in issuing, collecting and servicing the
Bonds,
Section 14,
Notwi thstanding the provisions of Section 13
above, if for any reason the City decides not to have the County
issue the Bonds but rather to issue the Bonds or any Bonds for the
Phase I Project, by itself, then the City agrees to either
continue with the financial advisor, underwriter and bond counsel
already engaged by County, or to make appropriate arrangements for
the financial advisor, underwriter and bond counsel to be paid for
services rendered and costs expended.
Section 15.
The City agrees to indemnify the County for all
claims, judgments or awards which the County must pay as a result
of or arising from or relating to the Bond or the construction of
the Project, including the costs of litigating same and attorneys
fees,

Section 16,
Nothing expressed or implied herein is intended
or shall be construed to confer upon or to give any person, firm,
corporation or other entity, other that the parties hereto, any
right, remedy or claim under or by reason of this Interlocal

Agreement or by reason of any term, covenant, condition, promise
and agreement contained herein, all of said reights, remedies and
,

any claims whatsoever hereunder being for the sole and exclusive
benefit of the parties hereto, their successors and assigns. No

third party D~neficiary rights are intended or implied,

Sect~on-17,
This Interlocal Agreement shall be binding upon
the parties hereto, their successors and assigns.

Sect~on 18. This Interlocal Agreement has
been
duly
~uthorized, executed and delivered by each party hereto and
constitutes a legal, valid and binding obligation of each party
enforceable\against each party in accordance with its terms,
Section 19.
The terms of this Interlocal Agreement shall be

enforceable by either party hereto in a court of competent
jurisdiction by use of all available equitable and legal remedies.
Section 20.
This Interlocal Agreement shall be effective
when approved, executed and delivered by the City Commission of
the City and the Board of County Commissioners of the County.
Section 21,
As a condition precedent to the effectiveness
of this Interlocal Agreement and any subsequent amendments
thereto, this Interlocal Agreement and any such amendments must be
filed with the Clerk of the Circuit Court, in and for Dade County,
Florida,
Section 22,
This document embodies the entire agreement and
understanding between the parties hereto, and any other agreements
and understandings, whether oral or written, with reference to the
subject matter of this Interlocal Agreement are merged herein or
superseded hereby,
Section 23,
No alteration, change or modifications of the
terms of this Interlocal Agreement shall be valid unless made in
writing and signed by all parties hereto and, if deemed by either
the City Attorney or the County Attorney to be a material

amendment, then only upon approval by both City and County
Conunissions,
Section 24,
If any part of this Interlocal Agreement is
held to b~ invalid, such part shall be severable and the remainder
of this Interlocal Agreement shall not be affected thereby,
provided that both the County and the City agree to the

A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF MIAMI BEACH, FLORIDA, AUTHORIZING
THE MAYOR TO EXECUTE AN INTERLOCAL AGREEMENT
BETWEEN DADE COUNTY, FLORIDA AND THE CITY. OF
MIAMI BEACH CONCERNING THE SALE OF BONDS BY
THE COUNTY. .FOR THE PURPOSE OF EXPANDING,
.. IMPROVING, ENLARGING ETC. THE MIAMI BEACH
.. CONVENTION CENTER: . PROVIDING AN EFFECTIVE

WHEREAS, pursuant to Chapter 163, Fla, Stat., providing
for the creation of Interlocal Agreements between public agencies
(the Florida Interlocal Cooperation Act of 1969), and Chapter
:166, Fla. Stat., the City Commission has' the authority to enter
'into Interlocal Agreements. with other public agencies,. to perform
