Article II I General conditions
I. Parties: The parties to this Agreement are the Grantee listed in Article I, and the City of Miami Beach, a
municipal corporation organized under the laws of the State of Florida (City). The City has delegated the responsibility
of administering this Grant to the Executive Director of the City of Miami Beach Cultural Arts Council, or his designee,
who shall be referred to herein as the "Director of the Council."
2. Proiect Descriotion; The Grantee may only use the Grant for the purposes that are specifically described in the
Project Description attached hereto as Exhibit No. I. All expenditures will be subject to the tenns of this Agreement,
and as specified in the itemized Line Item Budget, or with changes not to exceed ten percent (10%) per category, so long
as expenditures do not exceed the total amount of Grant funds. If amendments to the itemized Line Item Budget are
absolutely necessary the Grantee must fonnally request authorization via a letter to the Director of the Council detailing
and justifying the changes. All Grant recipients must participate in Miami Beach Second Thursdays (see Article
ID-19).
The following City of Miami Beach" Anchors" are required to provide specific infonnatioo in their Project Description,
attached hereto as Exhibit No. I, for providing mentoring to a small to medium arts organization( s) of their choice,
supported by the City's Cultural Arts Council, either by offering rehearsal space, working on collaborative programs,
or some similar project with the intent of assisting such smaller arts organization(s).

Failure to include the above infonnation may result in the cancellation of the Grantee's award, and may disqualify it
from future consideration from the City's Cultural Arts Grant Program.
3. Reoorts; This Grant has been awarded with the understanding that the described Project will enhance and
develop the City's tourism and cultural community. To demonstrate that the Grant is fulfilling, or has fulfilled, its
purpose, the Grantee must supply the Director of the Council with a written report documenting that the Grantee has
fulfilled all requirements. This report is to be received by the Director of the Council within 90 days of the Project's
completion. Miami Beach Anchors ONLY will submit an interim report in April 2001 to receive the second 50% of
their Grant award, with final reports due at the completion of the City's fiscal year on September 30, 2001.
4. Amount of Grant and Pavrnent Schedule; The total amount of the Grant is specified in Article 1-2. By making
this Grant. the City assumes no obligation to provide fmancial support of any type whatever in excess of the total Grant
amount. Cost overruns are the sole responsibility of the Grantee. The Grant funds will be supplied to the Grantee
subsequent to the Mayor and City Commission's approval of the award.
5. PrOI!f8I1l Monitoring and Evaluation: The Director of the Council may monitor and conduct an evaluation of
operations and the Project under this Grant, which may include visits by City representatives to observe the Project or
Grantee's programs, procedures, and operations, or to discuss the Grantee's programs with the Grantee's personnel.
6. Bank Accounts and Bonding: Monies received pursuant to this Agreement shall be kept in accounts in
established Miami-Dade County banks or savings and loan associations whose identities shall be disclosed in writing
to the Director of the Council with the identity and title of individuals authorized to withdraw or write checks on Grant
funds.

7. Accounting and Financial Review: The Grantee must keep accurate and complete books and records of all
receipts and expenditures of Grant funds, in conformance with reasonable accounting standards. These books and
records, as well as all documents pertaining to payments received and made in conjunction with this Grant, such as
vouchers, bills, invoices, receipts and canceled checks, shall be retained in Miami-Dade County in a secure place and
in an orderly fashion by the Grantee for at least two (2) years after the Expenditure Deadline specified in Article 1-5.
These books, records, and documents may be examined by the Director of the Councilor his designee at the Grantee's
offices during regular business hours and upon reasonable notice. Furthennore, the Director of the Council may, at the
City's expense, audit or have audited, upon reasonable notice, all the fmancial records ofthe Grantee, whether or not
purported to be related to this Grant.
8. Publicitv and Credits: The Grantee must include the City ofMiIImi Beach Cultrmzl Am COUllcillogo and
the following credit line in all publications related to this Grant: THE CITY OF MIAMI BEACH. Failure to do so may
preclude future grant funding from the City in the same manner as if Grantee defaulted under this Agreement, pursuant
to Article 11 - 12, below.
9. Liabilitv and Indenmification: The Grantee shall indemnifY and hold hannless the City and its officers,
employees, agents and instnJrnents from any and all liability, losses or damages, including attorneys' fees and costs of
defense, which the City or its officers, employees, agents and instromentalities may incur as a result of claims, demands,
suits, causes of actions or proceedings of any Idnd or nature arising out ot; relating to, or resulting from the performance
if this Agreement by the Grantee or its employees, agents, servants, partners, principals or subcontractors. Grantee shall
pay all claims and losses in connection therewith and shaII investigate and defend all claims, suits or actions of any kind
or nature in the name ofthe City, where applicable, including appellate proceedings, and shall pay all costs, judgments,
and attorneys' fees which may issue thereon. Grantee expressly understands and agrees that any insurance protection
required by this Agreement, or otherwise provided, shall in no way limit the responsibility to indemnifY, keep and save
hann1ess and defmed the City or its officers, employees, agents and instrumentalities as herein provided.
If the Grantee is a government entity, this indemnification shall only be to the extent and within the limitations of
Section 768.28 Florida Statute, subject to the provisions of that Statute whereby the Grantee entity shall not be held
liable to pay a personal injwy or property damage claim or judgment by anyone person which exceeds the sum of
$100,000, or any claim or judgment or portions thereof, which, when totaled with all other claims or judgments paid
by the government entity arising out of the same incident or occurrence, exceed the sum of $200,000 from any and all
personal injwy or property damage claims, liabilities, losses or causes of action which may arise as a result of the
negligence of the Grantee entity.
10. Assil!llIllent: The Grantee is not pennitted to assign this Grant, and any purported assignment will be void,
and shall be treated as an event ofdefauIt pursuantto Article 11-12, below.
II. Comoliance with Laws: The Grantee agrees to abide by and be governed by all applicable Federal, State,
County and City laws, including but not limited to Miami-Dade County's Ordinance No. 72-82 (Miami-Dade County's
Conflict of Interest and Code of Ethics Ordinance) as amended, which is incorporated herein by reference as if fully
set forth herein, and Chapter 2, Article V11 ofthe Miami Beach City Code, as amended, which is incorporated herein
by reference as if fully set forth herein.
12. Defaultffennination Provisions: In the event the Grantee shall fail to materially confonn with any of the
provisions of this Agreement, the Director ofthe Council may withhold or cancel all, or any unpaid installments of the
Grant upon giving five (5) calendar days written notice to the Grantee, and the City shall have no further obligation
to the Grantee under this Agreement. Further, in the event of a breach of any tenn or condition of this Agreement, upon
five (5) calendar days written demand by the Director of the Council, the Grantee shall repay to the City all portions
of the Grant which have been received by the Grantee, but which have not actually been disbursed by the Grantee as
of the date that the written dernand is received. In the event that this Grant is cancelled or the Grantee is requested to
repay Grant funds because of a breach of this Agreement, the Grantee will not be eligible to apply to the City for
another Grant for a one year period commencing on the date the Grantee is notified in writing of the breach of this
Agreement.

The Grantee will be liable to reimburse the City for all unauthorized expenditures discovered after the
expiration of the Grant period. The Grantee will also be liable to reimburse the City for all lost or stolen Grant funds.
Any uncommitted Grant funds which remain in the possession or under the control of the Grantee as of the
date of the Expenditure Deadline specified in Article 1-5 must be returned to the City within fifteen (15) days after the
Expenditure Dead1ine; ifsuch funds have been committed but not expended, the Grantee must request in writing from
the Director of the Council an extension of the Expenditure Deadline for a period not to exceed one (I) year.
Grant funds which are to be repaid to the City pursuant to this Section are to be repaid by delivering to the
Director ofthe Council a certified check for the total amount due, payable to the City of Miami Beach, Florida.
These provisions do not waive or preclude, the City from pursuing any other remedies that may be available
to it under the law.
13.lndul~ence Will Not be Waiver of Breach: The indulgence of either party with regard to any breach or failure
to perform any provision of this Agreement shall not be deemed to constitute a waiver of the provision or any portion
of this Agreement either at the time of the breach of failure occurs or at any time throughout the term of this Agreement
14. Written Notices: Any written notices required under this Agreement will be effective when delivered in person
or upon the receipt of a certified letter addressed to the Grantee at the address specified in Article I-I of this Agreement,
and to the Director of the Council when addressed as follows: David Whitman, Executive Director, Miami Beach
Cultural Arts Council, 1700 Convention Center Drive, Miami Beach, Florida 33139- I 819.
15. CaPtions Used in this Agreement: Captions, as used in this Agreement, are for convenience of reference only
and should not be deemed or construed as in any way limiting or extending the language or provisions to which such
captions may refer.
16. Contract Reoresents Total Aereement: This contract, including its special conditions and exhibits, represents
the whole and total agreement of the parties. No representations, except those contained within this agreement and its
attachments, are to be considered in construing its terms. No modifications or amendments may be made to this
Agreement unless made in writing signed by both parties, and approved by appropriate action by the Mayor and City
Commission.
Article III I Miscellaneous provisions
17. The Grant awarded herein is the result of an extensive public review process which found that the Grantee
is performing a public purpose through the programs, projects, and services recommended for support. As such, use
of these funds for any program component not meeting this condition will be considered a breach of the tenns of this
Agreement and will allow the City to seek remedies including but not limited to those outlined in this Grant Agreement
18. The Grantee also accepts and agrees to comply with the following Special Conditions:
The Grantee hereby agrees that it will comply with Title VI of the Civil Rights Act of 1964 (42 U.S.C. 2000d
et seq.) prohibiting discrimination on the basis of race, color, national origin, handicap, or sex.
The Grantee hereby agrees that it will comply with City of Miami Beach Ordinance No. 92-2824, as amended
from time to time, prohibiting discrimination in employment, housing and public acoommodations on acoount of race,
color, national origin, religion, sex, sexual orientation, handicap, marital status, or age.
The City endorses the clear mandate of the Americans with Disabilities Act of 1990 (ADA) to remove barriers
which prevents qualified individuals with disabilities from enjoying the same employment opportunities that are
available to persons without disabilities.
The City also endorses the mandate of the Rehabilitation Act of 1973 and Section 504 and prohibits
discrimination on the basis of disability and requires that Grant recipients provide equal access and equal opportunity
and services without discrimination on the basis of any disability.
19. AU Grant recipients must participate in "Miami Beach Second Thursdays" (Second Thursdays), a cultural
open house on the second Thursday of every month. Free arts events will be held at multiple locations throughout the
City. Upon acceptance of the Grant and execution of the Agreement, Grantee shall include the exact manner of
participation in "Second Thursdays." Failure to participate in "Second Thursdays" may be considered a material breach
of this Agreement, as provided in Article IT - 12 herein.
Exhibit 1/ Revised Project Description
Organization: Miami City Ballet, Inc.
Project title: Anchors Prol!ram
As part of the Miami Beach Cultural Arts Council's Anchors Program, Miami City Ballet
(MCB) will use approved funding to present four programs of first class repertory at
Miami Beach's Jackie Gleason Theater, including four Company Premieres, one World
Premiere, and the cherished holiday favorite, George Balanchine 's The Nutcrackerâ„¢.
New this year is a special2-program mini-series, Ballet For Young People, an interactive,
educational initiative for families with children. In addition, MCB will participate in the
new monthly, Second Thursdays program, and collaborate with other local grOllpS in
Miami Beach.
Since the original application was submitted in June, 2000, programming for the
Subscription Series has been revised and is outlined below. Also, after participating in
the first two Second Thursdays programs, MCB has fine-tuned our monthly activity
schedule. The revised Second Thursdays programming is described in further detail
below.

Sustaining Neoclassical Ballet Thro\lgh Audience Development: To cultivate new
audiences rrom all segments of South Florida's multi-cultunil community MCB's
programmillg will inc1ude several new components: (A) Slaughter on 10th Avenue will
launch MCWs "Broadway at the Ballet" initiative. Packed WIth high entertainment
value, Balanchine's portrayal of crime and passion in Gotham was originally
choreographed as a Dallet sequence within the 1936 Broadway musical On Your Toes.
The "S-roadwav" initiative is intended to attract non-traditional ballet patrons who
regularly attena visiting Broadway theater productions. (B) The Company Premiere of
Les Patzneurs (The Skating Party) will be the centerpiece ofMCB's new Balletfor
YounR PeoRle series des~' ed to appeal to young families with children. Dancers glide,
whirl~ and 'skate" throu a winter wonderland III Frederick Ashton's innovative nod to
ice skating, showcasiIJg e athletic skill ofMCB's male dancers through a series of nine

Epoche III America prior to W orta War II, the ballet is expected to include a grand
ballroom scene inv01ving the full Company. By drawing from a variety of familiar
social dances such as the Waltz, Mambo, Fox Trot, ancfOuick Step" Villella hopes to
create a new ballet, which has a resonance for modem audiences willie extending the art
form and maintaimng its integrity.
Strategic Artistic Efforts! Collaborations: A number of specialists in social dance will
be hirea. to assist Edward Villella in creatinll The Neighborhood Ballroom. Last season,
well-known Latin dance specialists! Pedro' Cuban Pete" Aguilar and Barbara Craddock
served as consultants for Mambo IVO. 2 a.m. This season Frank Regan, a choreographer,
dance historian, and author of Championship Ballroom Dancing will coach Villella and
MCB dancers on aspects of several waltz styles. Company pianIst Francisco Renno is
composing an original score. Negotiations are underway WIth award-winning Broadway
set designer, Tony' Walton to create sets for this initiative. Over time, Villella hopes to
acquire several "piano ballets" for the repert~. The first of these, Balanchine's
Sonatine premieres this season. Villella brou t the original cast of Violette Verdy and
Jean-Pierre Bonnefous to Miami to teach the CB couple dancing this pas de deux.
Finally, the RudolfNureyev Foundation which has a special interest in audience
development; is collaboratingwith MCB to present Les Patineurs and helped fund costs
to bring the Ashton Estate's Hilary Cartwrignt to the United States to teach the ballet to
MCB's dancers.

Education and Outreach: Since 1990, MCB's Education Program has provided dance
education activities to over 275,000 students, who are primarily from minority or at-risk
communities. MCB seeks to make ballet a non-elitist art form available to young people
of all ethnic and economic backgrounds. Outreach efforts are such a priority, that of the
350 students currently enrolled in MCB's School, 10% are African-American, 40% are
Hispanic and over 13% receive full or partial scholarships due to economic need.
Scholarship recipients are also provided with leotard, work -out clothes, ballet slippers
and pointe shoes. In certain cases, transportation is also arranged. The School makes it
a policy never to turn away a child due to financial need. In addition to the Inner-City
Outreach and "Celebration of Dance" In-School Lecture-Demonstration programs, MCB
plans to launch a pilot Dance Therapy Program for Pediatric Cardiac Patients in 2001 in
collaboration with Miami Children's Hospital.
Faculty from MCB teach classes on-site at three inner-city schools in Miami-Dade
County: Charles R. Drew Elementary School in Liberty City, Eneida M. Hartner
Elementary School in Wynwood, and South Pointe Elementary School in
Miami Beach. These schools are located in some of the most economically-deprived
regions of Miami-Dade County. Throughout the academic year, two classes are taught at
each of these schools, reaching a total of 120 students. In order to insure individual
attention, class-size is limited to 20 students. Students who show potential are given
scholarships to attend Miami City Ballet School. Eight graduates of these programs are
now attending the school and all have been chosen for feature roles in Miami City
Ballet's acclaimed production of The Nutcracker.
IIL Second Thursdays Participation
Miami City Ballet has used the Second Thursdays program as a vehicle to showcase the
Company's new Liberty Avenue facility to test several interactive components of our
new Ballet For Young People Program, which premiered at Jackie Gleason TheRter on
November 11, 2000. Each month, program participants will be invited to experience the
following activities:
. Guided Tours of MCB 's 63,000 square foot building:
Trained docents (both MCB staff members and volunteers) lead guided tours of
the facility every 30 minutes between 6:15 and 8:15 p.m. During these tours,
participants view MCB School classes in progress and get a "behind the scenes"
look at the Company's costume shop and studio spaces. Docents also discuss the
history of MCB, upcoming programming, and our education and outreach
programs. Each month, the tour highlights a different department. At the end of
the tour, participants who correctly answer a one-question quiz receive a coupon
for 10% off any purchase at the MCB Boutique Shop that evening. Questions
vary each month and are based on information provided during the tour.

. Interactive Lobby Activities:
One popular component ofMCB's Ballet For Young People program offers
participants the opportunity to try the five basic ballet positions. This activity
was first tested on Second Thursdays participants and has become a regular
element of both the Ballet For Young People and Second Thursdays activities.
Led by a dancer or member of the Company's artistic staff, participants learn the
basic positions using templates placed on the floor, which outline foot placement.
Instructors then demonstrate proper arm placement and technique.
A VCR is set up in the lobby continuously playing tapes ofMCB performances or
selected TV video clips, including interviews with Edward Villella. In addition, 5
costumes from MCB's collection are displayed in special museum-quality cases
in the lobby. Featured currently are costumes from The Mystery of the Dancing
Princesses, Danzalta, The Nutcracker, Carmen, and Pas De Dix. Costumes on
view will be rotated on a periodically.
. Mini-Theater Activity in The Lynn and Louis Wolfson, II Theater:
Each month, participants can witness MCB dancers in rehearsal or advanced level
students from the school in MCB's state-of-the-art, 200 seat mini-theater.
Rehearsals and classes are ongoing from 6:00 p.m.--8:00 p.m.
. Prize Drawings and Free Gifts:
Participants who register for MCB's mailing list are eligible to win special prizes
drawn every half hour. Prizes vary each month and have included autographed
pointe shoes, MCB travel mugs, or other merchandise from the Boutique Shop.
Each month at least two 4-Packs of tickets to ballet performances at Jackie
Gleason Theater are offered as the Grand Prize. All Second Thursdays visitors
receive a free gift, such as a poster.
. Lobby Boutique and Box Office:
MCB's Lobby Boutique and Box Office will have extended hours from 6:00 p.m.
until 8:30 p.m.
Second Thursdays "Headliner" Program, December 14,2000
All ofthe activities described above will be featured. In addition, MCB will create a
"Nutcracker" Theme Night, designed to promote the Company's performance of George
Balanchine's The NutcrackerTM, which opens at Jackie Gleason Theater on Friday,
December 15. The following additional elements will be added:
. The Costumed Nutcracker character will be on site to greet all visitors.
. A dancer or MCB staff member will read "The Story of the Nutcracker" in the
lobby, beginning every 30 minutes, beginning at 6: 15 p.m.
. Visitors will enjoy holiday punch and treats, and given free "Nutcracker" stickers.

. The lobby will be decorated for the holidays.
. Prizes will include four prime "A" seats to MCB's performance of The
Nutcracker on Sunday, December 17 as well as 3 sets of four tickets to the March
performance of Ballet For Young People.
IV. Collaboration With Local Groups
MCB fully intends to collaborate with its Collins Park Cultural District neighbors, The
Bass Museum of Art, and the Miami-Dade Regional Library as opportunities arise. As
previously described, the Company already collaborates with the public school system
through several education and outreach programs. In addition to the programs described
above, approximately 10 % of all Miami City Ballet tickets are distributed free of charge
to agencies that provide services for underserved or special population audiences. During
the 1999-2000 season, 3879 tickets were donated to organizations including: Artz in the
Hood, the "I Have a Dream" Foundation, Project Head Start, the United Foundation for
Aids, the United Cerebral Palsy Association, Best Buddies, The Association for Retarded
Citizens, the Make-A-Wish Foundation, Voices For Children, and others.
V. Mentoring Component
In order to meet the mentoring component for this grant, MCB will make studio space
available for the use of selected individual artists or arts groups. MCB's Lynn and Louis
Wolfson, n Theater, which seats 200 will be available. Artists interested in using the
space should submit a proposal for approval to General Manager, Mark Rosenblum.
Interested individuals or groups will be responsible for providing music, lighting, or other
production elements they may require.
The first artist to be featured will be Michael Orkin, an independent artist who will
present a "dance meditation" class entitled, "The Alchemy of Movement." Mr. Orcan's
class will be presented monthly in the Lynn and Louis Wolfson n, Theater. His class will
be one of the activities "Second Thursdays" participants may enjoy while visiting MeB.
