ESTIMATED ANNUAL CONTRACT AMOUNT: $171,564 A. AUTHORITY -Upon affirmative action taken by the Mayor and City Commission of the City of Miami Beach, Florida, on September 5, 2007, a Contract has been approved for award and subsequent execution between the City of Miami Beach Florida and Contractor(s). B. EFFECT -This Contract is entered into to provide printing of the City of Miami Beach Magazines, MB magazine and Recreation Review. for the City of Miami Beach, pursuant to City Invitation to Bid (ITB) No. 45-06/07 and any addenda thereto, and Contractor's bid in response thereto (this Contract, the ITB, and Contractor's bid in response thereto may hereinafter collectively be referred to as the "Contract Documents"). C. ORDERING INSTRUCTIONS - All blanket purchase orders shall be issued in accordance with the City of Miami Beach Procurement Division policies and procedures, at the prices indicated, exclusive of all Federal, State and local taxes. All blanket purchase orders shall show the City of Miami Beach Contract Number (45- 06/07), with the current expiration date of September 5, 2008, 2009, or 2010, as applicable. D. CONTRACTOR PERFORMANCE -City of Miami Beach departments shall report any failure of Contractor to perform according to the requirements of the Contract Documents to Nannette Rodriguez, City of Miami Beach Public Information Officer at 305-673-7000 ext. 6417. E. INSURANCE CERTIFICATE(S) -The Contractor shall file Insurance Certificates, as required, which must be signed by a Registered Insurance Agent licensed in the State of Florida, and approved by the City of Miami Beach Risk Manager prior to commencement of any services/work by Contractor. ,:,irv c~.c~a: Page 2 Certification of Contract F. ASSIGNMENT AND PERFORMANCE -Neither this Contract nor any interest herein shall be assigned, transferred, or encumbered by either party. In addition, Contractor shall not subcontract any portion of the work and/or services required by the Contract Documents. Contractor warrants and represents that all persons performing any work and/or services required by the Contract Documents have the knowledge and skills, either by training, experience, education, or a combination thereof, to adequately and competently perform same, to City's satisfaction, for the agreed compensation. Contractor shall perform the work and/or services required under the Contract Documents in a skillful and respectable manner. The quality of Contractor's performance and all interim and final product(s) provided to or on behalf of City shall be comparable to the best local and national standards. G. SERVICE EXCELLENCE STANDARDS -Excellent Customer Service is the standard of the City of Miami Beach. As a Contractor of the City, Contractor will be required to conduct itself in a professional, courteous and ethical manner, and at all times and adhere to the City's Service Excellence standards. Training will be provided by the City's Organizational Development and Training Specialist. H. PUBLIC ENTITY CRIMES - In accordance with the Public Crimes Act, Section 287.133, Florida Statutes, a person or affiliate who is a contractor, consultant or other provider, who has been placed on the convicted vendor list following a conviction for a public entity crime may not submit a bid on a contract to provide any goods or services to the City, may not submit a bid on a contract with the City for the construction or repair of a public building or public work, may not submit bids on leases of real property to the City, may not be awarded or perform work as a contractor, supplier, subcontractor, or consultant under a contract with the City, and may not transact any business with the City in excess of the threshold amount provided in Section 287.017, Florida Statutes, for category two purchases for a period of 36 months from the date of being placed on the convicted vendor list. Violation of this section by Contractor shall result in cancellation of the Contract and may result in Contractor debarment. I. INDEPENDENT CONTRACTOR -Contractor is an independent contractor under this Contract. Services and/or work provided by Contractor pursuant to the Contract Documents shall be subject to the supervision of Contractor. In providing such work and/or services, neither Contractor nor its agents shall act as officers, employees, or agents of the City. This Contract shall not constitute or make the parties a partnership or joint venture. J. THIRD PARTY BENEFICIARIES Neither Contractor nor City intends to directly or substantially benefit a third party by this Contract and/or the Contract Documents. Therefore, the parties agree that there are no third party beneficiaries to this Contract and that no third party shall be entitled to assert a claim against either of them based upon this Contract and/or the Contract Documents. 2 Page 3 Certification of Contract The parties expressly acknowledge that it is not their intent to create any rights or obligations in any third person or entity under this Contract and/or the Contract Documents. K. NOTICES -Whenever either party desires to give notice to the other, such notice must be in writing, sent by certified United States Mail, postage prepaid, return receipt requested, or by hand-delivery with a request for a written receipt of acknowledgment of delivery, addressed to the party for whom it is intended at the place last specified. The place for giving notice shall remain the same as set forth herein until changed in writing in the manner provided in this section. MATERIALITY AND WAVER OF BREACH -City and Contractor agree that each requirement, duty, and obligation set forth in the Contract Documents is substantial and important to the formation of this Contract and, therefore, is a material term hereof. City's failure to enforce any provision of the Contract Documents shall not be deemed a waiver of such provision or modification of this Contract. A waiver of any breach of a provision of this Contract shall not be deemed a waiver of any subsequent breach and shall not be construed to be a modification of the terms of this Contract. SEVERANCE - In the event a portion of this Contract and/or the Contract Documents is found by a court of competent jurisdiction to be invalid, the remaining provisions shall continue to be effective unless City or Contractor elects to terminate this Contract. An election to terminate this Contract based upon this provision shall be made within seven (7) days after the finding by the court becomes final. N. APPLICABLE LAW AND VENUE -This Contract and/or the Contract Documents shall be enforceable in Miami-Dade County, Florida, and if legal action is necessary by either party with respect to the enforcement of any or all of the terms or conditions herein exclusive venue for the enforcement of same shall lie in Miami-Dade County, Florida. By entering into this Contract, Contractor and City hereby expressly waive any rights either party may have to a trial by jury of any civil litigation related to, or arising out of the Contract and/or the Contract Documents. Contractor, shall specifically bind all subcontractors to the provisions of this Contract and the Contract Documents. O. AMENDMENTS - No modification, amendment, or alteration in the terms or conditions contained herein, or in the Contract Documents, shall be effective unless contained in a written document prepared with the same or similar formality as this Contract and executed by the City and Contractor. P. This Contract shall not be effective until all bonds and insurances) required under the Contract Documents have been submitted to, and approved by, the City's Risk Manager. Q. The ITB and all addenda issued, and Contractor's bid in response thereto, are attached to this Contract and are hereby adopted by reference and incorporated herein as if fully set forth in this Contract. Accordingly, Contractor agrees to abide by and be bound by any and all of the documents incorporated by the Contract Documents. The purpose of Invitation to Bid No. 45- 7 (the "Bid"} is to establish a contract, by means of sealed bids, with a qualified vendor for the printing of the City of Miami Beach brochures. The City of Miami Beach hds currently two publications: The MB magazine currently printed six times per yearwhich is produced by the Office of Communications and The Recreation Review brochure, currently printed three times per year and highlights the City's Parks and Recreation activities and events. The ITB was issued on July 10, 2007 with an opening date of August 16, 2007. Apre-bid conference to provide information to bidders submitting a response was held on July 25, 2007. BidNet issued bid notices to 31 prospective bidders, RFP Depot issued bids notices to 29 prospective bidders, and 40 bidders were notified via mail, a-mail, and fax circulation, which resulted in the receipt of four (4) bids. Assistant City Manager, Hilda Fernandez, appointed a Technical Review panel ("the panel")that performed site visits and convened on August 28, 2007. It was the panel's overall opinion to be in the best interest of the City to recommend one printer for both magazines in order to obtain the greatest cost reduction on distribution and circulation expenses. FUNDING Funds in the amount of $155,566 are available from the budgeted accounts of the Office of Communications and Parks and Recreation as follows: $ 48,936 from Parks & Recreation -- 011-0950-000324 -- External Printing $122,628 from Office of Communications -- 011-0350-000324 - Extemal Printing Services ANALYSIS The purpose of Invitation to Bid No. 45-06!07 (the "Bid") is to establish a contract, by means of sealed bids, with a qualified vendor for the printing of City of Miami Beach publications. The Bid was issued spec~cally to determine if additional savings could be identified for the printing of City publications, associated with alternative specifications for their production (e.g. number of pages, paper weight, etc.). This contract shall remain in effect for one (1) year from the time of award by the Mayor and City Commission, and may be renewed by mutual agreement for three (3) additional years, on a year to year basis. The City of Miami Beach currently has two publications: MB magazine, currently printed six times per year and produced by the Office of Communications of the City of Miami Beach (subject to change); and the Recreation Review, currently printed three times per year to highlight the City's Parks and Recreation activities and events (subject to change). Both publications are delivered directly to all City of Miami Beach households and city facilities, and both offset a portion of their total production costs (printing, fulfillment and postage) through the sale of advertising. On August 28, 2007, the panel convened and a quorum was attained. The panel was provided with Performance Evaluation Surveys. The City shall award the contract to the best value bidder. In determining the best value bidder, in addition to price, the panel considered the following Evaluation Criteria to rank the printing bidders and determine the lowest and best: a) The ability, capacity and skill of the bidder to perform the Contract. b) Whether the bidder can perform the Contract within the time specified, without delay or interterence. c) The character, integrity, reputation, judgment, experience and efficiency of the bidder. d) The quality of performance of previous contracts. e) The previous and existing compliance by the bidder with laws and ordinances relating to the Contract. The panel discussed their individual perceptions of the bidder's qualifications, experience, competence and facilities, and ranked the bidders being evaluated accordingly. 5 Commission Memorandum - !TB-35-05/06 October 11, 2006 Page 3 of 5 It was the panel's overall opinion to be in the best interest of the City to recommend one printer for both magazines in order to obtain the greatest cost reduction on distribution and circulation expenses. BEST LITHO, INC The site visit to Solo Printing, Inc. allowed the panel members to corroborate that Solo printing, Inc. is capable of performing the contracted services. During their visit, the panel members observed Solo Printing, Inc. running multiple presses, demonstrating a capacityto run concurrent jobs. In addition, they learned that in January, Solo Printing, Inc. will be expanding their facility while adding additional presses, which will facilitate increased production flow. The panel also indicated that dedicated customer service representatives are identified to directly manage the project flow within their 24 hour pre-press department, allowing for a seven to eight day turn around time. Furthermore, the award to Solo Printing, Inc. will signify, at a minimum, an overall cost reduction of 20% for both magazines. Please see Appendix "An. To illustrate, the Office of Communications currently spends $27,018 in printing alone per issue fora 48-page 70# self cover (65,000 issues). While ad sales offset production costs, the new pricing and specifications set forth in this bid (e.g. using 48-page, 70# cover and 45# text for 70,000 issues) is estimated to cost $20,438 per issue, resulting in a savings of $6,580 per issue for MB magazine alone and providing 5,000 additional copies. The reduced paper weight is expected to also result in savings associated with postage. 6 Commission Memorandum -ITS-35-006 October 11, 2006 Page 4 of 5 In addition, per current contract tabulation, the Recreation Review spends $18,015 per issue fora 70# self cover publication (70,000 copies) and will continue to produce a 70# self cover publication (70,000 copies) at a new pricing of $16,154. As a result, with the new pricing set forth in this bid, there will be a savings of $1,861 per issue. Solo Printing, Inc. has been in the same field of business for over 26 years. Solo Printing, Inc. has performed printing jobs for private and public industries, such as Florida State University College of Business, Tracfone Wireless, State of Florida Division of Retirement, The Miami Herald, and Florida Department of Education, GREEN INITIATIVE A part of the City's green initiative, bidders were encouraged to take measures to reduce negative environmental impacts such as, but not limited to, (1}the type of ink used, such as soy or vegetable; (2) the type of paper used, such as recyclable paper or post-consumer recycled content; (3) the machinery utilized; (4) LEED or other green certification acquired; or (5) wind, carbon or other credit purchased by the company to offset the atmospheric impact of shipping activities. CONCLUSION Based on the aforementioned, the Administration recommends that the City award a contract to Solo Printing, Inc for the printing of the City of Miami Beach magazines pursuant to ITB No. 45-06107. Irrespective of the Bidder's performance on contracts awarded to it by the City, the City may place said contracts on probationary status and implement termination procedures if the City determines that the successful Bidder no longer possesses the financial support, equipment and organization which would have been necessary during the Bid evaluation period in order to comply with this demonstration of competency section. 1.38 DETERMINATION..OF AWARD The City Commission shall award the contract to the lowest and best bidder. The contractor, at all times during the full duration of work under this contract, including extra work in connection with this project shall meet the following requirements: Maintain Automobile Liability Insurance including Property Damage covering all owned, non-owned or hired automobiles and equipment used in connection with the work. No change or cancellation in insurance shall be made without thirty (30) days written notice to the City of Miami Beach Risk Manager. All insurance policies shall be issued by companies authorized to do business under the laws of the State of Florida and these companies must have a rating of at least B+:VI or better per Best's Key Rating Guide, latest edition. Original signed Certificates of Insurance, evidencing such coverages and endorsements as required herein, shall be filed with and approved by the City of Miami Beach Risk Manager before work is started. The certificate must state Bid Number and Title. Upon expiration of the required insurance, the contractor must submit updated certificates of insurance for as long a period as any work is still in progress. The proposed Ordinance will require certain contractors doing business with the City of Miami Beach, who are awarded a contract pursuant to competitive bids, to provide "Equal Benefits" to their employees with domestic partners, as they provide to employees with spouses. Who is covered by this Ordinance? Competitively bid City contracts valued at over $100,000 whose contractors maintain 51 or more full time employees on their payrolls during 20 or more calendar work weeks. The Ordinance applies to all benefits offered by a contractor to its employees who have spouses or domestic partners and all benefits offered directly to such spouses or domestic partners, even when the employee pays the entire cost of the benefit. All information submitted on the application is subject to verification. EMPLOYMENT ELIGIBILITY VERIFICATION Solo Printing Inc. fully complies with the Immigration Reform and Control Act of 1986 CIRCA), and therefore only hires and retains those individuals who are lawfully authorized to work in the United States. In order to enforce this requirement, proper documentation must be presented to, and reviewed by, the company within three (3) days of hire. AT-WILL EMPLOYMENT It is understood that the employment relationship between you and Solo (the company) is at-will and at the mutual consent of both. Your employment at Solo Printing Inc is therefore voluntary and either you or the company can terminate the employment relationship, at any time, with or without cause or advance notice. REFERENCE, BACKGROUND CHECKS and MOTOR VEHICLE REPORTS Solo Printing Inc will conduct reference checks on all applicants. Background checks may be conducted on employees who are placed in positions where they have access to customers' property, or work in positions that handle sensitive information and/or money in any form. Employees who drive company vehicles to conduct company business will also have motor vehicle reports done. The appropriate releases will be obtained at the time of hire. While the results of these reports will have a bearing on the decision to hire someone, it will only be used as part of the hiring process and the decision to hire will not be completely based on these results. NEW HIRE INTRODUCTORY PERIOD Newly hired and rehired employees begin their employment with Solo Printing Inc with an Introductory Period of ninety (90) days from their start date. This introductory period provides time for you to decide if the job suits you and for the company to determine the suitability of your continued employment. This time will give you the opportunity to demonstrate your aptitude for the work as well as your ability and desire to succeed. It will also be a time when your manager/supervisor can provide you with feedback on your performance so you can correct any deficiencies in your performance. Please remember that Employment-At-Will remains in effect during and after this introductory period and the entire length of your employment with us. YOUR MANAGER/SUPERVISOR While this handbook provides you with information about our policies and the workplace values we support, we realize you may have many additional questions about your job, the company, and what is expected of you as an employee. Your manager/supervisor is the best resource for answering these questions or suggesting others who will be able to help you. Doing so is part of an on-going learning process. Our commitment in return is to support you and to provide you with the information you need to succeed in your job. YOUR HUMAN RESOURCES DEPARTMENT There. may be times when you wish to discuss an employment issue with someone ~-~, :other thatiyour manager/supervisor. You may direct those concerns to the Human }~ ~ >}~' Resources Department. The designated representative will be glad to schedule an appointment to listen to your concern, provide guidance and help you resolve the same. OPEN DOOR POLICY There is no policy more important to us than the "Open Door" Policy. This means a fair and open mind. Differences can arise in the best of companies and it is important that you be aware of this policy. Any performance problems or concerns that you may have should be discussed immediately with your manager/supervisor or your Director of Human Resources. Letting problems continue and complaining instead of discussing them with the person who can help you resolve them, may lead to frustration, not solutions. This policy gives you the right to talk to your manager/supervisor, their manager/supervisor, General Manager, and to a member of the Human Resources Department. No problem is too trivial to be discussed if it truly disturbs you. You may follow this procedure all the way up to requesting a meeting with the President/CE0 of the company to get an issue resolved. Be assured that management will not retaliate if you exercise your rights under our Open Door Policy. Solo Printing Inc promises that you will receive a fair discussion and an unprejudiced answer. The company cannot take steps to remedy a situation or resolve an employee's problem unless we are made aware. COMPENSATION Solo Printing Inc strives to pay wages that will attract, retain and motivate competent employees. We strive to maintain a competitive compensation program that recognizes good performance. We understand that pay is a very important and personal topic and how important it is for employees to understand how their pay is determined. The same is determined by several factors such as job responsibilities, performance, and market rate for jobs requiring similar experience, training and skills. Other factors that may be considered are the local cost of labor and the economy. EMPLOYMENT CLASIFICATIONS 1. Regular Full-time Employee - An individual employee to work a regularly scheduled week of a minimum of 40 hours on a continuing basis. EMPLOYMENT CLASIFICATIONS (Cont) 2. Regular Part-time Employee - An individual employed to work a regularly scheduled week of less than 40 hours per week. 3. Temporary Employee - A temporary employee can be either full-time or part- time, but hired for a specified length of time with an intended termination date. 4. Exempt Employee - An exempt employee is defined as one whose job duties, responsibilities, and salary places them in a bona fide executive, administrative, professional or outside sales, or other exempt capacity under the federal Fair Labor Standards Act and applicable state laws. Exempt employees are not eligible for additional compensation for hours worked in excess of 40 hours per week. 6 5. Non-Exempt Employee -All employees who are not classified as "exempt" are herein defined as non-exempt employees. These shall be paid for all overtime hours worked in accordance with the Fair Labor Standards Act and applicable laws. TIME RECORDS The company must keep accurate time records for all employees as required by the Fair Labor Standards Act (ELBA). For this reason all non-exempt (hourly) employees must clock in and out with the company provided "Badge" when: they arrive for work (begin of shift); leave for lunch; return from lunch; and leave at the end of their shift. These employees must also clock out if they leave company premises at any time during the day (duration of their shift) for personal business. This badge is not transferable and the replacement cost is $10.00 which will be deducted from the employees pay should the same be lost. Failure to comply will result in disciplinary action. Missing punches will require manual adjustments that represent time and money for the company, and will generate a $5.00 deduction from the employee's paycheck for that pay period. Employees are not allowed to work off the "clock" or clock in prior to the scheduled start of their shift. Falsification of time records by any employee will be grounds for termination of employment. Falsification of time records is considered theft. Employees, who do not clock in, are to turn in their approved time sheet to payroll at the end of the pay period. PAY ADJUSTMENTS It is the policy of Solo Printing Inc to offer competitive rates of pay. The same are established based on the market value of a particular job, skill, education, training, working conditions and other factors involved in the performance requirements of each job. Job classifications and individual performance are assessed periodically to assure that the pay you receive is in line with the complexity of work and degree of responsibility assigned to you, and the local labor market conditions. PAY PERIODS All employees are paid on a weekly basis: which means that there are 52 pay periods during the year. The pay period begins on Wednesday and ends on Tuesday with checks issued on the Wednesday the following week. OVERTIME Overtime is paid in compliance with the Fair Labor Standards Act (ELBA) and applies only to hourly employees. Only hours that are actually worked are used to determine overtime pay. Compensated holidays or vacation days are not considered "hours worked" and are not counted in overtime calculations. Overtime wages are paid at 1'~2 times your base hourly pay rate for any time worked over 40 hours per work week. On occasion, you may be asked to work overtime. In such situations, your manager/supervisor will make every effort to give advance notice. You should make every effort to meet such requests. Repeated refusal to work overtime when you are given prior notice can result in disciplinary action. No employee may work overtime without prior approval from their manager/supervisor. While the company will pay overtime wages for any overtime worked, even if prior authorization was not obtained, repeated infractions of this policy will result in corrective action, up to and including termination of your employment. PAYROLL DEDUCTIONS Federal and State laws require that Solo Printing Inc withhold applicable taxes from your wages. These are: • Federal Insurance Contribution (FICA) • Social Security (Medicare and OAST) If you want to change the number of exemptions or your marital status for federal income tax withholding purposes, see the Payroll Department to complete a new W-4 form. You may authorize payroll deductions for health insurance coverage and other benefits and/or services as they become available to you. WAGE GARNISHMENTS Garnishments and wage assignments are legal orders to employers to collect part of an employee's earnings to forward to creditors in payment of a legal debt. If a legal order to attach wages is served, Solo Printing Inc will comply with that order. All garnishments and wage assignments are handled through Payroll. BREAK AND LUNCH PERIODS Non-exempt (hourly) productions employees are provided with one ten (10) minutes breaks per day. One break is taken in the morning and one in the afternoon. Break periods may not be added to the lunch period in order to extend that time, nor may they be taken at the end of the workday. Non-exempt employees are paid for rest breaks and must remain on company premises during that time. 8 Each non-exempt production employee also receives anon-paid lunch period each day; anything less than 30 minutes is paid. They may not perform company work during breaks or their lunch period unless approved in advance by their manager/supervisor. Ir such an event, work will be compensated. We encourage all employees to take their break and lunch periods and not work through. All rest breaks and meal periods are scheduled by the managers/supervisors in each department. EMPLOYEE BENEFITS, INSURANCE PLANS AND PROGRAMS The company makes a number of programs available to provide you with protection in the event of sickness and/or injury. Some of these programs may have a company contribution, while others are made available at a direct cost to the employee. In case of conflict between the information presented in this handbook and any benefit plan contracts or documents, the benefit plan contracts or documents will govern. The benefits described here may be modified or eliminated at any time by the company. The Benefits Package includes: Health Insurance. To be eligible for these benefits you must have satisfactorily completed the required waiting period, and be regularly scheduled to work a minimum of 30 hours each week. The plan provides medical and prescription drug coverage for you and your eligible dependents. The eligible members of your family may include your spouse and dependent children under age 19 (under age 23 if a full time student). Disabled children may be eligible regardless of age, if approved by the insurance company. Your health care program coverage ends for you and your family on the day you are no longer an eligible employee. For example, if your scheduled work hours are reduced below 30 hours per week, your benefits will end on your first day worked under your reduced schedule. if you terminate employment with the company; your benefits will end on your last day worked. If coverage under the health insurance plan ends due to a qualifying event for you and your qualified family member (s), continued coverage under the plan may be purchased for a period of time under COBRA (the Consolidated Omnibus Budget Reconciliation Act). Qualifying events may include resignation, termination (not for cause) death, reduction in work hours, leave of absence, divorce or legal separation, etc. Your costs for COBRA coverage are the same as the entire cost (employee portion plus employer portion) of similar coverage for active employees, plus an administrative COBRA fee of no more than 3% as allowed by federal law. The benefits and features of the COBRA plan are the same as those for active employees. Solo Printing Inc reserves the right to change or terminate any insurance plan. The allocation of costs of the plans between Solo Printing Inc and you may be changed at any time. The Human Resources Representative will discuss specific benefits and costs during your orientation session. 9 DENTAL INSURANCE It is made available to the employees for themselves and qualifying dependents at the employees' cost. HOLIDAYS You must be a regular full-time employee to receive the six (6) paid holidays the company provides each year. Part-time and Temporary employees are not eligible for holiday pay. For all company holidays, you will receive pay at your regular base rate, provided you have worked, or been excused from work, on your regularly scheduled workday before and after the day on which the holiday is observed. The company will make every effort to schedule our workload around the holidays. However, because of customer and production demands it may be necessary for some employees to work during, some of, or all of the holidays. The company will notify you as far in advance as possible. Hourly employees will be paid holiday pay plus whatever hours they worked. Salaried employees will be given another day off. To qualify for holiday pay you must have successfully completed the 90 day introductory period. If you are on a leave of absence, you will not receive pay for holidays. The standard paid holidays include the six (6) indicated below: • New Year's Day • Memorial Day • Independence Day • Labor Day • Thanksgiving Day • Christmas Day The holiday schedule described here may be modified or eliminated at any time by the company. If an employee chooses to take time off to observe a religious holiday, they may do so using their available PTO (Paid Time Off (vacation). PAID TIME OFF (PTO) -VACATION This is earned on a calendar basis and requires, based on your position with the company, successful completion of the 90 days Introductory Period. During the first year of employment these benefits are prorated based on your month of hire. An employee will qualify to take Paid Time Off (vacation) after their first anniversary at Solo Printing. Forty (40) hours will be accrued (accumulated) the first year. After that, eighty (80) hours will be accrued per year. Employees must request PTO from their manager/supervisor, in writing, a minimum of two (2) weeks from their expected day of absence, except in the case of an emergency. However, it is expected that "emergencies" will be kept to a minimum as unscheduled absences create a hardship for your fellow co-workers and the operation of your department. 10 If you resign your position with Solo Printing, or are terminated for reasons other than cause, your accrued PTO will be paid to you. "Cause" is considered to be a breach of a company policy, acts of insubordination or violence. Please refer to Conduct and work Rules Guidelines for a more complete explanation. PTO will be paid to terminating employees on their last paycheck. PAID SICK TIME Paid sick time will amount to two (2) days in the year and will need to be accrued before it can be used. An employee will be eligible to use this time after successfully completing the 90 day introductory period and time in excess of the two (2) days will not be paid. Unused sick time will be forfeited at the end of the year. WORKERS' COMPENSATION Solo Printing Inc carries insurance to cover the costs of work related injuries or illnesses in accordance with Florida Law, Florida State 440. This benefit covers as provided by law medical and related expenses as well as part of any lost income until you are able to return to work. Solo Printing pays the entire cost for Worker's Compensation. You are automatically covered as of your first day of work. All accidents of any kind occurring at work, or while on a work mandated errand outside the premises, injuries and illnesses occurring on the job (no matter how insignificant they may be) must be reported to your manager/supervisor immediately. if your manager/supervisor is not available, then you must report the injury/illness to the Director of Human Resources or a member of senior management position. The report must be made on the same day the illness/injury occurs, or on the next business day if that is not possible. A first report of injury must be prepared on the day of the report and if you are unable to sign the same, a copy will be mailed to you. Delay in reporting you Worker's Compensation claim by law can bar you from receiving these benefits, and/or affect the validity of the claim. If the employee is found to have violated a company safety rule or failed to use safety equipment, Worker's Compensation benefits may be reduced or denied. Therefore, all employees are required to comply with safety rules, use provided safety equipment, and work in a safe manner. Failure to comply with safety and reporting requirements could be the basis for separate Company disciplinary actions up to and including termination of employment for cause. Employees injured on the job who losses time from work due to a Doctor's excuse, will be paid through the end of the workday in which the injury took place. After that, the employee will be eligible to receive Worker's Compensation benefits as provided by the applicable law for the date of the accident, after seven (7) days waiting period has been satisfied. SOCIAL SECURITY Employees are covered under the social security program. Employees pay social security tax through payroll deduction as required by law. Our company pays an equal amount of tax on your behalf. UNEMPLOYMENT COMPENSATION Unemployment Insurance under the Florida Unemployment Compensation Law covers employees. Solo Printing pays the entire contribution for unemployment insurance without any deduction from your wages. WORK SCHEDULE AND HOURS The standard work schedule for payroll period at Solo Printing is eight (8) hours a day (excluding lunch periods), Wednesday through Tuesday. Your manager/supervisor will notify you of the required work schedule for your position. Your hours may vary depending on your responsibilities as well as business requirements. As our company services external customers whose business requirements vary, you could be asked to work outside normal working hours when necessary to ensure high quality service. Therefore, all employees must be available to work any shift. If for personal reasons you require a change in shift, you must submit your request to you manager/supervisor in writing. When a vacancy occurs on your preferred shift you will be given consideration for a transfer to that shift. This will be done based on seniority and in the order in which requests are received. Flexible work hours may be approved for certain positions if it results in improved productivity or service to our customers. Solo Printing Inc may modify or eliminate flexible hours at anytime, based on business needs. We will provide reasonable advance notice, where possible. ABSENTEEISM AND TARDINESS Coming to work everyday, and on time, to complete your assignments is critical to your overall performance and our business. Excessive tardiness and absenteeism are disruptive, cause an undue burden on your co-workers and directly affect our business results. Repeated tardiness and/or absences may result in corrective action, up to and including termination of your employment. When you are going to be late or absent for any reason other than scheduled time off, you are required to directly contact your manager/supervisor as soon as possible, and before your scheduled start time. Only in an emergency may someone else call in to notify of your absence. However, you are expected to contact your immediate manager/supervisor as soon as you are able to do so and advise them of your expected return date. This will allow us to make the necessary adjustments for your late arrival or absence. If you are absent from work and have not properly notified management for three (3) consecutive days, you will be considered to have voluntarily resigned your employment with Solo Printing Inc. When absent due to illness for three (3) or more consecutive days, a certified medical release signed by your health care provider may be required before you are allowed to return to 12 work. Your manager/supervisor will need this release in order to verify that you are able to return to your work assignments. You will also need to obtain a doctor's release to return to work after any of the following reasons, regardless of the length of the absence: • Work related injury. • Personal injury (not work related) if a physician or health care provider treated you. • Any type of surgery (except minor surgery), heart disease, or circulatory or other medical problems causing concerns about your ability to perform your work assignment. We will make every possible effort to provide reasonable accommodation for disabilities. DRESS AND GROOMING Although Solo Printing Inc is an informal, manufacturing work environment, employees are representative of the company and the image it presents to its customers, the general public and each other. Your appearance and grooming must always be considered professional and in keeping with the following guidelines: • Manner of Dress -Dress must be consistent with that which is normally accepted in a work environment. Your clothes must be clean, pressed and in good repair. • Hair -Hair must be neatly trimmed, styled, clean and worn in a manner that does not present a safety hazard for those employees who work around machinery or flammable products. Sideburns, mustaches and beards must be neatly trimmed. Facial hair is not allowed in areas where breathing protection is required. • Jewelry -Employees are not allowed to wear any type of jewelry, such as rings, bracelets or chains that could become caught or tangled in machinery. • Personal Hygiene -Personal hygiene requires daily bathing, use of deodorant and grooming prior to reporting for work. It is highly unpleasant for others to work around employees who are not careful of their personal cleanliness. Article II. The following are not acceptable at any time for any employee: • Tank Tops. • Novelty shirts with slogans or designs that is suggestive or obscene. • Leggings. • Skorts* or shorts. • Mini skirts (more that 3 inches above the knee). • See-through clothing. • Low cut tops. • Low-rider pants, unless worn with a tucked in shirt. • Blouses that are provocatively left unbuttoned. • Sleeveless tops or dresses, unless worn with a sweater or jacket. • Tight clothing beyond the limits of good taste. 13 A sandal, backless slip-ons, clogs for manufacturing employees or employees who visit the manufacturing areas. Midriff blouses, or other belly button or waist exposing clothing. * Skorts -shorts that appear to be a skirt when viewed from the front. The dress code in Administration is always professional casual. Improperly groomed or dressed employees will be subject to corrective action up to and including termination of employment for repeated offenses. Where necessary, inappropriately dressed employees will be sent home to comply with established standards. Nonexempt employees will not be paid for missed work under such circumstances. RADIOS Loud music will not be allowed in the plant or any other areas. Loud music can be distracting to other employees as well as creating a safety hazard. Management reserves the right to restrict the use of personal radios, including headphones and/ox earpieces. Solo Printing Inc will not be responsible for the loss or theft of personal radios. TELEPHONE USAGE Telephones are for business purposes. While it is understood that you may occasionally need to use the company telephone for personal reasons, abuse of company telephones for personal calls may result in corrective action. No employee is to make personal long distance calls using a company telephone. In the case of an emergency, your immediate managerlsupervisor may approve a long distance call, the number called and the date and time the call is made will be provided to the office manager and the company must be reimbursed for the charge. CELL PHONES Excessive personal calls during the workday can interfere with productivity and be distracting to others. The use of personal cell phones during business hours is prohibited, except during regular breaks and lunch periods. Employees are asked to make any personal calls on non-work time where possible, and to ensure that family and friends are aware of the company's policy. The company is not liable for the loss of personal cell phones brought into the workplace. Disciplinary action, up to and including termination of employment, will be take for infractions to this policy. PERSONNEL FILES The company maintains your confidential personnel file. Keeping your personal information up to date is very important. Having accurate information enables us to reach you or your families in the event of an emergency, send important notices to your home, and ensure accuracy in your compensation, insurance and other benefits. 14 BOOKS AND RECORDS Employees must maintain all company records honestly, accurately and in a timely manner. False or artificial entries, including those made in time sheets, schedules, employment applications, personnel records and corporate expense accounts, must never be made in any of the books or records of Solo Printing Inc nor in any public record for any reason, nor may permanent entries in the company's records be altered in any way. You may not dispose of or otherwise destroy company records or files without the permission of management, as legal and regulatory practices require the retention of certain records for various periods of time. These records include: • Tax • Personnel • Health and Safety • Environmental Licensing • Corporate Structure PARKING No one is to park in an assigned space or in spaces designated for our customers. All plant employees must park their vehicles on the eastbound side of the building, inside the gate. Parking spaces in front of the building, including the eastbound side outside the gate are reserved for office employees and customers. CORRECTIVE ACTION POLICY Courtesy and a good sense of ethics are the best guides to proper conduct. However, there are times when we do not use our best judgment and a reminder of what is appropriate work place behavior is necessary. Corrective action is used for the purpose of eliminating undesirable behavior and preventing a recurrence of the same. The corrective action taken will always be in proportion to the seriousness of the situation, the number and type of previous infractions and other relevant circumstances. Under company's policy, corrective action may take a variety of forms, including warnings (oral or written), suspension (with or without pay), probation, demotion and discharge. The severity of the discipline and the number of steps in the process will depend on the circumstances of each case as determined at the sole discretion of the company. In every case you will be given ample opportunity to state the situation from your point of view CONDUCT AND WORK RULE GUIDELINES 1. Expectations. While it is impossible to compile a complete list of expected behavior and/or unacceptable conduct subject to corrective action, the following guidelines provide examples. 2. The following Actions will normally result in Immediate Discharge. 15 a) Counterproductive behavior. Any actor acts which result in theft, fraud, rape (or other sexual offenses including sexual harassment), arson, extortion, embezzlement, burglary or larceny, any violence using deadly weapons or any other serious violations of the law. Willful violation of our company confidentiality and/or conflict of interest policies; unauthorized disclosure or access to the use of company files, data or records. Any other personal conduct on or off company premises, during work or non-work hours, which substantially limits the employee's effectiveness by reason of its detrimental effects on the business or reputation of the company. b) Irresponsible Conduct. Action on the part of the employee that creates a substantial, unjustifiable risk or harm to themselves, another person, serious damage to the property of others while on company time or premises. This includes but is not limited to: reckless use of company equipment, discourteous conduct to customers, fellow employees or vendors. Harassment, abusive language, threatening behavior or physical assault of customers, vendors or fellow employees. Any conduct which has a detrimental effect on customer relationships, or causes a conflict affecting the morale of co-workers or creates a hostile work environment. c) Insubordination. Willful disregard of, or unwillingness to follow, reasonable instructions or orders from amanager/supervisor or person place in a position of authority, or other conduct which may be interpreted as insubordination by management. d) Fraudulent/Deceptive Practices. Use of company property, credit, services or employment relationship in any manner other than that prescribed by company policy or procedure, or federal, state or local laws. This includes, but is not limited to, willful manipulation or misappropriation of company funds, vendor or customer property, services of credit, theft, fraud, embezzlement, burglary, larceny, unauthorized price negotiations or markdowns, falsification of company documents, removal of company property, or unauthorized use of company software or hardware. e) Ne~li~ent Conduct. Failure to use reasonable care in the performance of work or work related duties that results in injury, property damage, or financial loss to the company or which limits or interferes with profit of production. This includes but is not limited to, horseplay, excessive customer complaints, failure to properly secure customer merchandise left on premises, failure to follow safety guidelines, mishandling or failure to properly secure confidential data or other company property. ~ Drugs/Alcohol- Sale, possession, distribution, use or manufacture of controlled (non-prescription) drugs, abuse of prescribed drugs or use of alcohol on company premises or during working hours. Reporting to work under the influence of drugs or alcohol or where off-duty use of such substances substantially interferes with the ability to perform assigned duties. g) Security Investigations and Drug Testine. Failure to successfully clear or cooperate in security investigations (including refusal to provide our company with written statements which confirm voluntary verbal statements) and drug 16 testing. When a loss has occurred, when an individual is being promoted from a non sensitive position to a sensitive position or at other times deemed necessary by the company, employees may be asked to cooperate with background checks and other investigative measures, subject to applicable state and federal laws. h) Use nr Possession ofDeadly Weapons. Possession of firearms or weapons on company premises, whether on or off company time, is strictly prohibited. Violation will result in immediate termination, Employees who believe there is a weapon on company premises must immediately notify a member of management so that appropriate action can be taken. 2. The Following Behaviors May Result in Disciplinary Action Up to Including Article Ill.lmmediate Discharge. a) Poor Performance/Failure to Work Standards. Inconsistent performance or failure to meet work standards. b) Lounging/Loafing. Employee behavior during scheduled hours that demonstrates significant lack of attention to assigned duties or responsibilities. This includes, but is not limited to: sleeping; reading of materials for personal pleasure; excessive personal telephone calls; extensive personal visits by either co-workers or outside visitors; or extensive personal business which interferes with the ability to perform assigned duties, the ability of other co-workers to perform their duties or management's ability to efficiently operate the department or company. c) Report to Work in Unfit Condition. Reporting to work when physically, mentally or emotionally impaired as to be unable to perform assigned responsibilities whether due to excess fatigue (i.e. not company work related), working another job, or resulting from off duty conduct that could have been prevented. d) Excessive Absenteeism and Tardiness. Absenteeism or tardiness (whether excused or not) which interferes with an employee's ability to perform the duties of their position, results in a hardship on fellow co-workers or creates the inability to properly staff the department for efficient and secure operations. e) Unexcused or Unreported Absences. "Unexcused" is defined as failure to obtain proper prior approval. "Unreported" is defined as failure to call in for an absence. Failure to report an absence or an unexcused absence of three (or more consecutive workdays will be treated as a voluntary termination.) ~ Hazardous Acts. Violation of applicable safety rules, or unsafe work practices. This includes but is not limited to; failure to wear personal protective equipment which may be required in the performance of work duties; failure to report occupational injuries or illnesses to management or failure to conform to applicable OSHA regulations. g) Failure to Cooperate. Includes, but is not limited to; failure to cooperate in schedule changes (including days off, overtime and PTO), perform duties other than those nornally assigned either on an on-going basis or temporarily, transfer, improve work performance, or work as a team member assisting other co- workers. 17 h) Violation of Company Policies. Violation of policies and procedures outlined in any operations or other types of manuals, as well as any local rules of the department or facility. OTHER TIMESAWAYFROM WORK FAMILY MEDICAL LEAVE ACT (FMLA) The company provides each employee with a right to unpaid leave in compliance with the Family Medical Leave Act (FMLA) of 1993 and/or applicable state or municipal/county ordinances. All Paid Time off (PTO) provided by the company must be used as part of leave under FMLA. FMLA requires covered employers to provide up to 12 weeks of unpaid, job protected, leave to "eligible" employees for certain family and personal medical events. Employees are eligible if they have worked for at least one year, and for 1250 hours over the previous 12 months. Both requirements must be met. Company policy limits any employee from taking more than 12 weeks of FMLA leave during any rolling 12 month period, calculated from the date on which FMLA leave was last granted. Qualifying events Unpaid leave must be granted for any of the following reasons: • The birth of a child of the employee. Eligibility for this leave expires 12 months after the birth and applies equally to men and women. • The placement with the employee of a child for adoption or foster care. Eligibility for this leave expires, 12 months after the child is place with the employee. • To care for the employee's spouse, child, or parent who has a serious health condition (Miami-Dade County Ordinance allows leave for the care of a grandparent). • For an employee's own serious health condition that makes the employee unable to perform their job. Serious Medical Condition For purposes of the act, a serious health condition must require inpatient care or continuing treatment. • Inpatient care is an overnight stay in a hospital, hospice, or residential medical care facility and any resulting period of incapacity and treatment. • Continuing treatment is defined as one of the following: 18 A period of incapacity involving two or more treatments by a healthcare provider or treatment by a healthcare provider on one occasion resulting in a continuing course of treatment. Pregnancy or prenatal care. A period of incapacity because of a chronic serious health condition requiring periodic visits for treatment, continuing for an extended period of time, and which may cause recurring rather than continuing incapacity. Employee Notification Requir-enzents The employee must provide Solo Printing Inc with sufficient information to reasonably inform them that the request for leave is an FMLA qualifying event. The notice can be verbal or written. Some restrictions apply: Must give the reason for the absence before being entitled to FMLA leave. Employee must generally provide at least 30 days' notice before taking an FMLA leave if the need for a leave is foreseeable. If 30 days' notice cannot be given, notice must be given as soon as possible. This usually means that the employee must give notice within one or two weeks of learning of the need for leave, unless there is an emergency. An employee who is taking intermittent or reduced schedule leave for planned medical treatment must consult with Solo Printing lnc and make reasonable efforts to schedule the leave in such a way that it does not interrupt operations. Such scheduling would be subject to approval by the healthcare provider. Employer Notificatiof~ Requiren~e~~ts When placing an employee on FMLA leave, Solo Printing Inc will provide written notice of the following: • That the leave will be counted as FMLA leave. FMLA can be designated retroactively. • Whether medical certification is required and the consequences of failing to provide such certification. • That the employee must substitute available paid leave for any portion of FMLA leave. • Whether the employee must make premium payments during their leave and the arrangements for making such payments. • Whether afitness-for-duty certificate is required to return to work. • Whether the employee is a "key employee". • That the employee will be restored to the same or equivalent position. • That the employee is potentially liable for health insurance premiums paid by the employer during FMLA leave if the employee fails to return to work for reasons other than the reason for leave or because of a serious health condition. 19 Solo Printing will maintain the employee's insurance benefits in force while the employee is on leave. Employee must make arrangements with the Human Resources Department to make payments for their portion of premiums. PERSONAL LEAVE OF ABSENCE Eligibility for personal/medical leave differs from leave under Family and Medical Leave Act (FMLA) and is granted at the company's sole discretion. An employee must have worked one full continuous year before they are eligible for consideration of a leave. An employee will not be eligible to request an unpaid leave within 12 months of the completion of a prior leave. Personal Leave will be granted for a maximum of thirty (30) days. In only the most extenuating circumstances, and with the approval of the Director of Human Resources and the General Manager, will a leave be granted for a longer period. All requests for leave must be submitted in writing to the employee's immediate manager/supervisor; they must state the start date, the return date and the reason for the leave. Requests must be submitted at least two (2) weeks in advance of the proposed start date. Emergency situations will be evaluated on an individual basis. An employee who is on Personal Leave of Absence may choose to continue their Group Insurance coverage. However, the employee is responsible for their share of the premium. The employee must contact the Human Resources department to make arrangements for the payment of the applicable premiums. If the employee fails to return to work by the designated return to work date, they will be deemed to have voluntarily abandoned their job. An employee who engages in gainful employment while on a leave of absence shall be immediately terminated from further employment with Solo Printing Inc. BEREAVEMENT LEAVE You will be compensated up to a total of two (2) working days for the death of an immediate family member. Immediate family is defined as spouse; child, mother, father, stepmother, stepfather, brother, sister, mother-in-law, father-in-law, brother-in-law, sister-in-law, son-in- law, daughter-in-law, grandparent or grandchild. The company has the right to request proof of a death in the family such as a copy of an obituary or In Memoriam Card. Time lost due to death in the family as covered under this policy will not be deducted from your PTO bank. It is not the intent of this policy to provide you with paid days when you would not ordinarily be scheduled to work, such as weekends, holidays. and other scheduled PTO. Full time employees become eligible after the 90-day introductory period. COMPULSORY COURT DUTY If you are summoned for required jury duty or other court service under subpoena (except proceedings in which you are personally involved), you will receive your full regular pay, 20 less any compensation paid by the court. You must immediately inform your manager/supervisor if you receive jury summons or subpoena. If you are selected for a jury, you are expected to report to work on the days on which you are not scheduled to serve, or if you serve less than a half day. In order to be paid for your absence(s) you must turn in proof that you served on Jury duty or as a witness. You will also need to present proof of compensation paid by the court. The court will issue the appropriate document. EMERGENCY CLOSINGS In the event of an emergency closing, employees will have a choice to use vacation hours or no pay. CONFIDENTIAL INFORMATION In the course of your employment, you may have access to confidential information about Solo Printing Inc, its customers, business associates and competitors. Tliis is extremely valuable information and demands your highest efforts to preserve its confidentiality. FACILITIES ACCESS In order to provide adequate security we have specific regulations governing entrances and exits to the facility that must be followed. When reporting to work or exiting the facility, the employee entrance must be used. All employees must wear their Identification Badges. For security reasons, all exterior doors except the lobby and employee entrance remain locked at all times. Adequate exits are available throughout the plant to evacuate the building in case of an emergency. If you are issued a door entrance key and/or access to the company security system, you alone are responsible for their protection. These must be kept extremely confidential. These items must be returned upon termination of your employment. If your card or key is lost or stolen, report the missing items to management immediately. Arrangements need to be made to change locks, the security system or password, and if so, a replacement must be requested through your manager/supervisor. VISITORS All visitors must check in/out with Reception upon entering Solo Printing Inc facility. Please meet your visitors in the reception area and escort them back to the Reception Area at the end of their visit. All visitors need a badge and employee escort. PERSONAL PROPERTY 21 Solo Printing Inc does not assume any responsibility or liability for the theft or damage to personal property brought onto its premises, including automobiles parked in company parking lots. If you suffer a loss of personal property throughout theft or vandalism, please report the loss immediately to your manager/supervisor. SMOKING To reconcile the needs of smokers and non-smokers, and in compliance with the Florida Clean Indoor Air Act, Solo Printing Inc maintains anon-smoking facility. Smoking is only permitted within the designated area(s) during the individual employee's break and meal periods. At no time is anyone to smoke in the plant or at the front entrance to the facility. Taking additional "smoking breaks" is not allowed. Anyone found to be in violation of this policy is subject to corrective action up to and including termination of employment. DRUG FREE WORKPLACE Solo Printing Inc has established a Drug Free Workplace Program. To promote the safety, health and well being of our employees, and to create a productive and efficient workplace, we are committed to the maintenance and promotion of a drug free workplace. For these reasons, compliance with this policy is a condition of employment. Violation of this policy will be grounds for immediate dismissal. All offers of employment are contingent (depend) on the applicant successfully passing a drug test. Refusal to submit to a test, or refusal to sign a consent form, will be grounds for termination of employment for an employee, or denial of employment in case of an applicant. The company will subject applicants and employees to a drug test for the following reasons: 1. Pre-employment - No one should start work until the results from the pre- employment drug test are received. However, in an emergency situation the person may be put to work before results are in. If the results return positive, the person's employment will be immediately terminated. 2. Post Accident -When an employee is involved in a worker's compensation accident where medical attention is required, or where there is considerable damage to company property or that of others. 3. Reasonable Suspicion - If an employee reports to work in such a condition that it gives their manager/supervisor reason to suspect that the employee may be impaired, manager/supervisor will confer with the General Manager to confirn~ the suspicion and arrangements will be made to have the employee immediately taken to the collection center. At no time should the employee be allowed to drive him/herself to the collection center. 4. Random Drug Test -Currently the company does not have this program but it reserves the right to institute it with adequate notice given to the employees. The use, possession, sale, distribution, manufacture, transfer, dispensing or storage of alcohol, illegal drugs, inhalants, or drug paraphernalia by employees while in the course of their job, engaged in company sponsored activities, on company or customer property (including company 22 owned or leased vehicles), is strictly prohibited. Further, an employee is strictly prohibited from reporting to work, or working with drugs or alcohol in their system. This policy also applies to prescription medications that are used for illegal purposes, or are being used by someone other that the person for whom the prescription was written. In addition, employees are required to advise their manager/supervisor when they are using a prescription drug or over the counter medication which contains instructions, restrictions, or warnings indicating that the use of the drug may cause them to become impaired for the safe performance of their job duties. Prescription or over the counter medication must be kept in its original container. ANTI-VIOLENCE IN THE WORKPLACE Solo Printing Inc is committed to providing aviolence-free workplace for its employees and visitors. We maintain a strict policy of prohibiting violence or threats of violence in the workplace. Although some incidents are beyond our control, we believe they can be minimized with the cooperation of all our employees. Any employee violating this policy is subject to appropriate corrective action, up to and including immediate termination of employment. This policy applies to all the company employees and visitors and prohibits violence and/or threats in any form. Any employee who becomes aware of any threats of workplace violence (against employees, visitors and/or company or others property) must report the same immediately to their manager/supervisor, the general manager or other senior member of management. LEA i~ING THE COMPANY TERMINATION As stated earlier in this handbook, employment with Solo Printing Inc is always "at-will employment" and either the employee or the company may terminate employment at any time. An employee termination will generally be in one of the following categories. Resignation The action to terminate employment is initiated by the employee. Under such circumstances, employees are expected to give at least two (2) weeks notice, along with a letter of resignation. The letter should state the effective date of the resignation as well as the reason for the same. The company will determine if, and where, an employee who has resigned will continue to work during the notice period. 23 Retirement The action to terminate employment is initiated by the employee after meeting age criteria for retirement. Discharge The action to terminate employment is initiated by the company as a corrective action resulting from the employee's performance and/or job behavior. Layoff The action to terminate is initiated by the company for business reasons usually requiring a staff reduction, or for reasons other than corrective action. Someone on lay-off status may be subject to recall. If the break in employment is longer than six (6) months, the employee will be terminated from employment with Solo Printing Inc. If the employee is recalled during that time they will not suffer any loss of seniority, but have to be pre-employment drug tested. Upon termination from Solo Printing Inc, you will be requested to: Return any company property you might have in you possession such as keys, confidential materials and equipment. Finalization of any outstanding financial obligations owed to you or the company. An exit interview with the Director of Human Services or other designated person including: • Obtaining your input about Solo Printing Inc, your department, you manager/supervisor or other work related observations that you may wish to share. • Continuation of benefits (COBRA) information. ~ Arranging distribution of final paycheck. EMPLOYEE REFERENCES Solo Printing Inc carefully controls information regarding current and/or former employees. All requests for references must be directed and in writing to the Director of Human Resources. No person, other than Director of Human Resources, may provide any reference for a current of former employee. Solo Printing Inc only discloses dates of employment and positions held, unless there are compelling legal reasons why we must provide specific reason{s) for termination of employment. Requests for wage verification must be authorized by the current or former employee in writing. 24 EMPLOYEE HANDPOOK ACKNOWLEDGMENT This handbook describes important information about Solo Printing Inc., which includes rules and regulations regarding work and workplace behavior, as well as information relating to benefits and leave. It is my responsibility to read and understand, or have read and explained to me, the policies outlined in this handbook. I further understand that it is my responsibility to consult my manager/supervisor regarding any questions on, or clarification of, the policies mentioned in the handbook. As stated herein, policies, benefits and information contained in the handbook may change at any time at the company's discretion or as business needs dictate. I understand that revised information may supersede, modify, or eliminate existing policies. I have entered into my employment relationship with Solo Printing Inc voluntarily and acknowledge there is no specific length of employment. Accordingly, either Solo Printing Inc or I can terminate the relationship at-will, with or without cause, at any time, with or without notice.
