UNDERGROUND DUCT BANK & MANHOLE INSTALLATION AGREEMENT
This Agreement, made this 15th day of A riI }2~8 by and between City of Miami Beach (hereinafter called
the Customer) and Florida Power and Light Company, a corporation organized and existing under the laws of
the State of Florida (hereinafter called FPL).
WHEREAS; the Customer has requested the pre-approval of the location and installation of underground
distribution facilities to be located within the City of Miami Beach Right-of--Way.
WITNESSETH
That, for and in consideration of the covenants and agreements herein set forth, the parties hereto covenant
and. agree as follows:
1. The customer shaA:
a) furnish all necessary labor, equipment, material inGuding concrete (except materials listed herein)
and AS-BUILT Survey, to install approx. S2 feet of 2-5" AND 147 feet pf 4-5" concrete encased duct
bank with a minimum of ti0" cover, conduit spacers, electronic markers and associated materials
provided by FPL in accordance with the instructions and specifications shown on FPL drawings:
WR# 2843272 JOB SKETCH, MBPP588, MSPP59S, UN-2.0.0 fig. 1, 2, 3 8~ 4, G-6.0.1, UN-15.0.0,
UX 227, UX-520 and AS-BUILT. SURVEY REQUIREMENTS attached to this Agreement;
b) be solely responsible for the installation of concrete encased PVC conduits at the correct locat"ton
and the correct depth pursuant to the FPL construction drawing and specifications;
c) provide concrete for encasement of PVC conduits;
d) choose an installer not on the approved list but mutually agreeable to FPL and:
1) pay 16 071 CIAC upfront,
2) correct any discrepancies found in the installation that are inconsistent with the instnuctions and
spec~cat'ions attached to this agreement or FPL will not proceed with remainder of rekocation work
per associated/related Work Requests # 2843278 & # 2843277;
e) provide survey points for FPL to stake the duct bank route route;
f) notify FPL when the conduit is placed prior to pouring concrete for inspection;
g) provide "AS-BUILT" prints and provide "AS-BUILT SURVEY" by a Florida registered surveyor within
ivvo (2) weeks of final installation (see attachment "AS-BUILT SURVEY REQUIREMENTS");
h) provide for pick-up of materials
i) assume liability for materials lost, stolen or damaged once the customer receives material;
j) assume liability for any delays and/or additional costs to FPL caused by a conduit installation that is
not consistent with the instructions and specifications attached to this agreement.
k) be responsible for and shall perform any/all demolition/restoration work complying with all temporary
and final restoration requirements set by City of Miami Beach Public Works Department ~.vithin City
Right-of-Way.
I) be responsible for obtaining all construction permits including Lane Closure Permits and Excavation
Permits from City of Miami Beach Public Works Department

2. FPL shall:
a) provide written instructions and specifications for the installation of FPL provided PVC conduit;
b) provide 5" PVC conduit & PVC cement, conduit spacers, 4/0 copper insulated neutral wire, and
electronic marker to the Customer for the installation of underground facilities within the specified
duct bank route;
c) provide staking for the Customer along the specified duct bank route;
d) assume no 1'~ability for materials lost, stolen or damaged once received by the customer,
s) furnish any additionat material at the current cost plus applicable loading and delivery charges;
f) assume no liability for delays caused by material delivery deficiency, induding insuffident, last, stolen
or damaged material;
g) assume no liability for delays because of misunderstanding of installation drawings or specifications;
h) assume no liability for delays or additional cost caused by an inadequacy of the conduit system
installation;
i) assume no liability for special incidental or consequential damages of any nature;
j) obtain design permit from City of Miami Beach Public Works Department;
k) provide crew to core drill into manholes and provide crew to assist customer subcontractor attach
conduits to manholes.
3. This agreement is subject to FPL's General Rules and Tariff and the Rules of the Florida Public Service
Commission.
4. Customer agrees to protect, defend, indemnify and hold FPL, its officers, directors, employees, and
agents (FPL Entities) flee and unharmed from and against any and all claims, liabilities, loss, costs, or
damages whatsoever, related to any daim made by tenants, invites, licensees, quests, any other or third
parties, induding court costs and attorney's fees, whether or not due to or caused in whole or part by the
negl'~gence of FPL Entities, resulting from or in connection with the performance of this Agreement by
either party hereto.

AS- BUILT SURVEY REQUIRMENTS
It will be the responsibility of FPL's surveyor to initially stake the entire job establishing the
following:
Centerline of trench
Center of manhole with off sets
It is the responsibility of the Customer/contractor andlar his surveyor to maintain the original
staking or perform any re-staking that is required.
Grade information, reference information, benchmarks, etc., that may be required may be
obtained from the FPL Survey Department unless construction is on the property under
development. Grade will then be supplied by the developer /owner.
AS-BUILT SURVEY
The customer /contractor will have a land surveyor, who is registered and licensed in the State of
Florida, obtain, before back-filling occurs, all AS-BUILT field information necessary for updating
and correcting FPL construction drawings. The surveyor will legibly mark, with a red pencil, on
both the profile and plan view of FPL's construction drawings, all corrections, additions, and
deletions while a# the job site. These drawings are to remain on the job site at all times for
inspection by the FPL Company Representative. Construction drawings are to be updated by the
surveyor, while at the job site, each time any AS-BUILT survey information is obtained. The
surveyor is also #o record all AS-BUILT information in a FIELD BOOK. This FIELD BOOK is to
include the company name, crewmembers and the date each time AS-BUILT information is
obtained.
The AS-BUILT information required is as follows:
1. All facilities are to be stationed to a baseline or reference line that is identifiable as a land line
or right-of--way line. This base line or reference line must be related to the area of the job site
and be capable of being transposed on#o FPL's cons#ruction drawings. If the construction
drawing includes a baseline or reference line, the AS-BUILT information is to be referenced
to this line.
2. All elevations will refer to the datum plane of "mean sea level" as defined by various bench
marks of the United States Geological Survey or Coast and Geodetic Survey. They are to be
taken along the top of the duct bank, with no offsets, and at existing grade, all at 50 foo#
maximum intervals. Additional elevations and grade shots are required when there is a
change of elevation and/or direction of the duct bank. Elevations are also required on the
roof of the manhole, at existing grade, and where the duct bank enters the manhole.
3. Overall total lengths of duct are to be recorded. Measurements are to be taken from the
manhole's outside wall and directly along the length of the duct bank with no offsets.
4. When other u#ili#ies are uncovered, {water, gas, sewers, telephone, CAN, etc.) their size and
type are to ba determined, their loco#ion referenced to the baseline, and their elevation noted.
An elevation will be taken on the duct bank directly above or below the other utility and at
existing grade.
5. A duplicate set of construction prints, marked in red pencil, is also required. This duplicate
set may be marked from FIELD BOOK infomtiation by the surveyor's office.
Note: The construction contractlagreement will not be consider®d complete until all of the
following are presented to, and approved by, the FPL Company Representative.
a} Signed and sealed copies of the AS-BUILT survey FIELD BOOK.
b) The set of FPL construction drawings marked in red by the surveyor in the field.
c} The duplicate marked set of construction prints.
