A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE
CITY OF MIAMI BEACH, FLORIDA, APPROVING AN ASSIGNMENT OF
THE PROFESSIONAL SERVICES AGREEMENT FOR THE
PERFORMANCE OF COMMUNITY INVOLVEMENT/LIAISON
CONSULTANT SERVICES FOR THE COLLINS AVENUE
RECONSTRUCTION PROJECT, DATED MARCH 2, 2001; SAID
ASSIGNMENT TRANSFERRING ALL OF THE SERVICES CURRENTLY
PERFORMED BY BRIDGE HOUSE/ COMMUNIKATZ JOINT VENTURE,
TO COMMUNIKATZ, INC., AS PROVIDED FOR UNDER SECTIONS 4.12
AND 4.19 OF THE AGREEMENT.
WHEREAS, Resolution No. 2001-24239, dated January 31,2001, approved a Professional
Services Agreement between the City and Bridge House/Communikatz Joint Venture, for the
performance of community involvement/liaison consultant services for the Collins Avenue
Reconstruction Project, from Lincoln Road to 26th Street (Agreement); and
WHEREAS, the Agreement was executed by all parties on March 2, 2001, when the
Consultant's services officially began; and
WHEREAS, the City has a "Vendor Ordinance" which precludes the principals of a firm, and
the firm itself, from serving as a vendor of the City while contributing to political campaigns in Miami
Beach; and
WHEREAS, due to this Ordinance, on April 5, 2001, Bridge House respectfully requested
that the firm be dropped from the above-mentioned Agreement, and that the City consider an
assignment to Communikatz, Inc., their partner in the Agreement; and
WHEREAS, as set forth in the attached letter from Bridge House, dated April 5,2001,
Bridge House wishes to "disengage itself from the role of vendor to the City, in order to be
respectful of the new ordinance, an to remain active as citizens, in the political process of Miami
Beach;" and
WHEREAS, Bridge House/Communikatz will remain primarily liable for any and all claims
made under the indemnification provisions of the Agreement, that would otherwise have been made
against Bridge House/Communikatz, prior to the assignment to Communikatz; and
WHEREAS, the assignment is permissible under Sections 4.12 and 4.19 of the Agreement,
after receiving official approval by the Mayor and City Commission.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission hereby approve an assignment of the Professional Services Agreement for the
performance of community involvement/liaison consultant services for the Collins Avenue
Reconstruction Project, dated March 2, 2001; said assignment transferring all of the services currently
performed by Bridge House/Communikatz Joint Venture, to Communikatz, Inc., as provided for
under Sections 4.12 and 4.19 of the Agreement.

Dear Jorge:
Last month, Bridge House/Communikatz entered into an agreement with the City
of Miami Beach for the performance of community involvement services for the
Collins Avenue Reconstruction Project. Unfortunately, it was not until after the
contract was signed that we learned of the City's Vendor Ordinance. This ordi-
nance precludes the principles of a firm and the firm itself, serving as a vendor of
the City, from participating in political campaigns in Miami Beach. As long time
residents, we have always played active volunteer roles in campaigns, under-
standing the great significance of this process. This places Bridge House in a dif-
ficult situation.
In an effort to be respectful of the new ordinance, and in order to remain active,
as citizens, in the political process, we must disengage from our role as vendors
of the City.
Accordingly, Bridge House respectfully requests that the City consider an assign-
ment of the contract, transferring all of the services currently performed by
Bridge House/Communikatz to Communikatz. Such an assignment Is permissible
under the terms of the contract, subject to the approval of the City, and will have
no i1i effect on the quality of the service provided.
In furtherance of this, Bridge House/Communikatz would agree to remain primar-
ily liable for any and all claims made under the indemnification provisions of the
agreement that would have otherwise been made against Bridge
House/Communikatz prior to the assignment to Communikatz.

Resolution No. 2001-24239, dated January 31, 2001, approved a Professional Services Agreement

Agreement was finally executed by both Bridge House, Communikatz, Inc., and the City, on March
2, 2001.
In a letter to the City Manager, dated April 5, 2001 (and attached hereto), Michele Burger, Vice
President of Bridge House, respectfully requested that her firm be dropped from the above-
mentioned Agreement, and that the City cousider an assignment to Communikatz, Inc. In addition,
Bridge House/Communikatz would remain primarily liable for any and all claims made under the
indemnification provisions of the Agreement that would have otherwise been made against Bridge
House/Communikatz, prior to the assignment to Communikatz.
As stated in her letter, Ms. Burger has recently learned about the City's Vendor Ordinance, which
precludes the principals of a firm, and the firm itself, from serving as a vendor of City while
participating in political campaigns in Miami Beach. "In an effort to be respectful of the new

our role as vendor of City."

The assignment is permissible under Sections 4.12 and ~ 19 of the Agreement. In addition,
Communikatz is willing, able, and qualified to assume sokresponsibility over the services to be
performed under the Agreement, due to the company's previous experience and involvement in
similar FDOT projects.
Due to the facts that Collins Avenue Phase-I is presently under construction, and Communikatz is
already working full time with the City, FDOT/Central Florida Equipment, as well as the Collins
Avenue Task Force, the Administration recommends approval of the Resolution.
