Heisenbottle Architects, P.A. (hereinafter the ARCHITECT-ENGINEER), and McCartney Construction Company (hereinafter the CONSTRUCTION MANAGER) collectively referred to as the PARTIES. WITNESSETH: WHEREAS on October 20, 1999 there was made an AGREEMENT BETWEEN CLIENT AND AGENT for Project No. COMB-99042000 (hereinafter CONTRACT-A); and WHEREAS on March 6, 2000 there was made an AGREEMENT BETWEEN OWNER, AGENT AND ARCHITECT-ENGINEER for Project No. COMB-99042000 (hereinafter CONTRACT-B); and WHEREAS on October 22, 2001 there was made an AGREEMENT BETWEEN OWNER AND CONSTRUCTION MANAGER for Project No. COMB-99042000 (hereinafter CONTRACT-C); and WHEREAS time is of the essence and the PARTIES wish to complete Project No. COMB-99042000 according to the terms and conditions contained herein; and WHEREAS it is the intention of the PARTIES to amend CONTRACT-A, CONTRACT-B and CONTRACT-C so as to make the terms and conditions herein a part of those agreements. NOW THEREFORE, the Parties hereby execute this Agreement and agree that the same becomes binding and enforceable by and through the Parties, their assigns, and agree as follows: 1. Final Budget. The Final Budget for the Project shall be as shown in the attached Exhibit-A, which Exhibit-A by reference and attachment hereto forms a part of this Agreement. The Final Budget shall not be subject to modification by Change Order. Phase fees shall be treated as a lump sum and in the event the project is completed ahead of schedule, CONSTRUCTION MANAGER shall be entitled to the entire phase fee. 2. Final Scope of Project. The CONSTRUCTION MANAGER warrants to the OWNER that CONTRACT-A, CONTRACT-B, CONTRACT-C and this Agreement contain the complete scope of the Project and that any and all conditions, either currently known and/or that should have been known at the time of the execution of this Agreement are accurately reflected or contained in the aforementioned Contracts and this Agreement. The warranty contained herein may be relied upon by the OWNER and its successors and assigns. It is the professional opinion of ARCHITECT-ENGINEER that CONTRACT-A, CONTRACT-B, CONTRACT-C and this Agreement represents the fu-al scope of the project and that any and all conditions, either currently known and/or that should have been known at the time of the execution of this Agreement are accurately reflected herein. ARCHITECT-ENGINEER covenants with OWNER that he has furnished his best skill and judgment in assessing the accuracy and completeness of this Agreement. 3. Substantial Completion Date. The date of substantial completion shall be August 10, 2005. The PARTIES understand and agree that time is of the essence. The date of substantial completion shall not be subject to modification by Change Order. -1- 4. Final Completion Date. The final delivery date shall be September 9, 2005. The PARTIES understand and agree that time is of the essence. The final delivery date shall not be subject to modification by Change Order. 5. Final Schedule. The PARTIES agee to adhere to the final project schedule as shown in the attached Exhibit-B, which Exhibit-B by reference and attachment hereto forms a part of this Agreement. 6. Paperwork Timeline. The PARTIES agree to adhere to the paperwork timeline as shown in the attached Exhibit-C, which Exhibit-C by reference and attachment hereto forms a part of this Ageement. Outstanding Change Orders. The Parties agee that the following Change Orders will be approved by OWNER upon submission to OWNER in final format: • Change Order #6 (See Exhibit-D) • Change Order #7 (See Exhibit-E) • Change Order #8 (See Exhibit-F) • Change Order #9 (See Exhibit-G) • Change Order #10 (See Exhibit-H) • Change Order #11 (See Exhibit-I) 8. Liquidated Damages. Inasmuch as failure to complete the project by August 10, 2005 will result in substantial injury to the OWNER, and as damages arising from such failure cannot be calculated with any degree of certainty, it is hereby agreed that if the project is not substantially completed as in accordance with the provisions of the Contract Documents the CONSTRUCTION MANAGER shall pay to the OWNER One Thousand Dollars ($1,000) for each and every calendar day elapsing between the date fixed for substantial completion above and the date such substantial completion shall have been fully accomplished, as liquidated damages for such delay. Said liquidated damages shall be payable by~the CONSTRUCTION MANAGER to the OWNER. Where CONSTRUCTION MANAGER has the authority in a subcontract to pass Liquidated Damages assessed under the terms of this Agreement to the subcontractor responsible for the delay, the PARTIES agree that CONSTRUCTION MANAGER may require the subcontractors} responsible for the delay to pay any Liquidated Damages for which the CONSTRUCTION MANAGER is primarily liable by the terms of this section. However, notwithstanding the foregoing, the CONSTRUCTION MANAGER is solely liable for Liquidated Damages, to the OWNER. 9. Resolution of Disputes. To prevent all disputes and litigation, it is agreed by the parties hereto that the ARCHITECT-ENGINEER shall decide all questions, claims, difficulties and disputes of whatever nature which may arise relative to the technical interpretation of the Contract Documents and fulfillment of the parties' obligations as set forth in CONTRACT-A, CONTRACT-B and CONTRACT-C, as amended by this Agreement as to the character, quality, amount and value of any work done and materials furnished, or proposed to be done or furnished under, or by reason of, the Contract Documents and the Project, and ARCHITECT-ENGINEER's estimates and decisions upon all claims, questions, difficulties and disputes shall be final and binding to the extent provided herein. Any claim, question, difficulty or dispute which cannot be resolved by mutual agreement of the parties shall be submitted to the ARCHITECT-ENGINEER in writing within fourteen (14) calendar days. ARCHITECT-ENGINEER shall notify the disputing parties in writing of ARCHITECT- ENGINEER's decision within fourteen (14) calendar days from the date of the submission of the claim, question, or difficulty or dispute, unless ARCHITECT-ENGINEER requires additional time to gather information or allow the parties to provide additional information. All nontechnical administrative disputes shall be determined by the OWNER pursuant to the time periods provided herein. -2- During the pendency of any dispute and after a determination thereof, the parties shall act in good faith to mitigate any potential damages including utilization of construction schedule changes and alternate means of construction. In the event the determination of a dispute under this Section is unacceptable to any party hereto, the party objecting to the determination must promptly notify the applicable party in writing within seven (7) calendaz days of receipt of the written determination. The written notice must state the basis of the objection. The parties shall participate in mediation to address all objections to any determinations hereunder and to attempt to prevent litigation. The mediator shall be mutually agreed upon by the parties. 10. Continuing the Work. CONSTRUCTION MANAGER shall carry on the work and adhere to the progress schedule during all disputes or disagreements with any other party. The work shall not be delayed or postponed pending resolution of any disputes or disagreements. 11. Governing Law and Exclusive Venue. This Agreement shall be governed by, and construed in accordance with, the laws of the State of Florida, both substantive and remedial, without regard to principles of conflict of laws. The exclusive venue for any litigation arising out of this Agreement shall beMiami-Dade County, Florida, if in state court, and the U.S. District Court, Southern District of Florida, if in federal court. BY ENTERING INTO THIS AGREEMENT, ALL PARTIES EXPRESSLY WANE ANY RIGHTS ANY PARTY MAY HAVE TO A TRIAL BY JURY OF ANY CIVIL LITIGATION RELATED TO, OR ARISING OUT OF, THIS AGREEMENT. l2. Extent of Agreement. This Agreement is intended to be the final agreement between the PARTIES for the completion of the Froject, subject to a material change in circumstances beyond the control of the PARTIES. The provisions of this Agreement may be altered only by written instrument signed by all PARTIES. Provisions of CONTRACT-A, CONTRACT-B and CONTRACT-C shall not be effective for modifying the provisions of this Agreement. 13. Conflict. l:n the event any of the terms provided in this Agreement conflict with the terms of CONTRACT-A, CONTRACT-B and/or CONTRACT-C, the terms of this Agreement shall control. All other terms of CONTRACT-A, CONTRACT-B and CONTRACT-C shall remain in full force and effect. The terms and conditions herein, together with CONTRACT-A, CONTRACT-B and CONTRACT-C, constitute the entire agreement and understanding of the parties and shall supersede all communications, negotiations, arrangements and agreements, either oral or written, with respect to the subject matter hereof. 14. Warranty of Authority. Each person signing this Amendment warrants that he or she is duly authorized to do so and to bind the respective party. Jorge Gonzalez, City Manager, introduced the item and explained that this is a request for an additional appropriation to fund improvements to the Colony Theater. He reviewed the history of the project. What is being proposed is to enter into a four party agreement which includes liquidated damages, a commitment to the substantial completion dates, a commitment to the budgets, and barring unforeseen conditions at completion in early fall of this year. Cynthia Marsiglio, Deputy Secretary, Department of Management Services (DMS), who is the project management entity which the City contracted with to manage the project, stated that the project is approximately 80-83% completed and they are looking for a completion date of August 10. Sheldon McCarthey, Construction Manager for the project, spoke. Jorge Gonzalez, City Manager, explained that the City was recommended to DMS by the Department of Community Affairs; the grant is one-third of what we thought we'd receive. Mayor Dermer stated that he doesn't want to see this City being milked by the State of Florida; he wants to make sure that the State of Florida bends backwards to help the City. If they were a private entity, we would be in court. Cynthia Marsiglio, Deputy Secretary, Department of Management Services (DMS), commits to the Commission that the State would bend backwards to help the City. She committed that the State is doing exactly what the City is expecting from the State and her department is bending-over-backwards to complete this project. Commissioner Cruz stated that DMS is doing the honorable thing; however, this was not the way to handle this type of project and this is a lesson learned, and the City has no other choice but to give them what they need and moved the item; seconded by Commissioner Gross. Jorge Gonzalez, City Manager, stated that he has not heard the contractor state that this is the guarantee maximum price. Sheldon McCarthey, Construction Manager, explained the circumstances found, including the reasons for the delays in the project. Commissioner Gross, to correct the record, stated that there are still lingering issues that have potential cost impact and requested Mr. McCarthey to state into the record what some of the remaining items are, which could have additional costs implications. The bathroom remodeling is not budgeted. Sheldon McCarthey, Construction Manager, stated that the Building Department is concerned about access to the ceiling area and the architect has proposed lifeline system to be installed in the ceiling. There is a budget item included for this but if something changes from what is proposed it could change the price. Jorge Gonzalez, City Manager, requested -the Commission authorize the Administration to have the City's lobbyists work to perhaps reimburse some of the funding. Inasmuch as failure to complete the project by August 10, 2005 will result in substantial injury to the OWNER, and as damages arising from such failure cannot be calculated with any degree of certainty, it is hereby agreed that if the project is not substantially completed as in accordance with the provisions of the Contract Documents the COSTRUCTION MANAGER shall pay to the OWNER One Thousand Dollars ($I,fl00} for each and every calendar day elapsing between the date fixed for substantial completion above and the date such substantial completion shall have been fully accomplished, as liquidated damages for such delay. Said liquidated damages shall be payable in addition to any excess expenses or costs payable by the COSTRUCTION MANAGER to the OWNER. 8. Extent of Agreement. This Agreement is intended to be the final agreement between the PARTIES for the completion of the Project. The provisions of this Agreement may be altered only by written instrument signed by all PARTIES. Provisions of CONTRACT-A, CONTRACT-B and CONTRACT-C shalt not be effective for modifying the provisions of this Agreement. 9. Conflict: in the event any of the terms provided in this Agreement conflict with the terms of CONTRACT-A, CONTRACT-B and/or CONTRACT-C, the terms of this Agreement shall control. All other terms of CONTRACT-A, CONTRACT-B and CONTRACT-C shall remain in full force and effect. The terms and conditions herein, together with CONTRACT-A, CONTRACT-B and CONTRACT-G, constitute the entire agreement and understanding of the parties and shall supersede all communications, negotiations, arrangements and agreements, either oral or written, with respect to the subject matter hereof. i0. I have checked all possible CIP files and I do not have an original. The second file attached is a copy of the unsigned Reso which we neither have an original for. The project is closed out, paid aut, and agreed to by the State and the City but we do not have the staff or the time to go back and re-create the original documents. I hope this will suffice enough to have the item removed from the pending list.
