AMENDMENT N0.2
TO THE PROFESSIONAL LANDSCAPE AND ARCHITECTURAL
SERVICES AGREEMENT BETWEENTHE CITY OF MIAMI BEACH, FLORIDA
AND QGS DEVELOPMENT, INC., DATED MAY 30, 2007, TO RE-CONSTRUCT THE
NORMANDY SHORES GOLF COURSE; SAID AMENDMENT PROVIDING FOR THE
CONSTRUCTION OF DRAINAGE INFRASTRUCTURE ON FAIRWAY DRIVE, IN AN AMOUNT
NOT TO EXCEED $451,435.00.
This Amendment No. 2 to the Agreement made and entered this ~ day of f~~~t
2008, by and between the CITY OF MIAMI BEACH, a Municipal Corporation existing unde the
laws of the State of Florida (hereinafter referred to as CITY), having its principal offices at 1700
Convention Center Drive, Miami Beach, Florida, 33139, and QGS DEVELOPMENT, INC., a Florida
Corporation, having its offices at 17502 County Road 672, Lithia, Florida, 33547 (hereinafter
referred to as CONTRACTOR).
RECITALS
WHEREAS, on March 14, 2007, the Mayor and City Commission authorized the
Mayor and City Clerk to execute an Agreement with Contractor to reconstruct the Normandy
Shores Golf Course, pursuant to Invitation to Bid No. 21 -06/07 (the Golf Course Project)
(Agreement); and
WHEREAS, on May 30, 2007, the City approved Amendment No. 1 to the Agreement
authorizing an alternate irrigation system and an alternative means for draining the greens; and
WHEREAS, the Normandy Shores Right-of-Way Infrastructure Improvement Project
(Project) includes enhanced landscaping, street lighting, repair and extension of existing sidewalks
to comply with ADA requirements, street resurfacing/pavement markings, and improved
stormwater drainage collection, including drainage work and re-grading in the swale south of the
pavement in Fairway Drive, that overlaps the Golf Course work (the ROW Project); and
WHEREAS, the City authorized construction activities for the ROW Project on January 23,
2007, hiring one of the City's Job Order Contract (JOC) contractors; and
WHEREAS, the JOC contractor was scheduled to complete its work on the Fairway Drive
swale before Contractor was to begin its work on said swale; and
WHEREAS, the City has since replaced the original JOC contractor for the Project, which
has resulted in a delay of several months to the ROW Project; and
WHEREAS, the Contractor is now ready to work on the Fairway Drive swale and the new
JOC contractor on the ROW Project is not ready; and
WHEREAS, the City and Contractor have agreed upon a price for the drainage work and
re-grading in the swale, south of the pavement on Fairway Drive, which will now be incorporated
into the Golf Course Project; and
WHEREAS, the City believes it to be in its best interest to transfer this portion of the work,
along with the necessary funding, from the current JOC Project to Contractor.
NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises, covenants,
agreements, terms, and conditions herein contained, and other good and valuable consideration,
the respect and adequacy are hereby acknowledged, do agree as follows:
ABOVE RECITALS
The above recitals are true and correct and are incorporated as a part of this Amendment
No. 2.
2. MODIFICATIONS
The Agreement is amended as defined in Exhibit "A", attached herein.
3. OTHER PROVISIONS.
All other provisions of the Agreement, as amended, are unchanged.
4. RATIFICATION.
The City and Contractor ratify the terms of the Agreement, as amended by this Amendment
No. 2.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 2 to be executed in
their names by their duly authorized officials as of the date first set forth above.

PROPOSAL CLARIFICATIONS
The City of Miami Beach will provide all pre-cast Boxes, grates, chains and pipe needed to construct the above work scope
in a timely manor. The contractor will furnish the necessary brick, mortar, bedding gravel, MOT, survey layout, pavement
patching and dewatering. Once the structures and pipe are accepted, the contractor is no longer responsible for flushing,
cleaning or repairs. This proposal assumes there is no curb along Fairway Drive to be removed or replaced. This proposal
does not include any turf eradication, strip & bury turf only.
The city will be responsibility to handle the dewatering discharge if the golf course can not handle it.
The owner to be responsible for all pre-construction permits, inspections, fees, and surcharges required to perform the
contracted construction.

in concrete, steel and plasticlPVC materials, we are unable to predict the future market. This proposal does not include any
adjustments/surcharges for material price increases. QGS Development, Inc. reserves the right to surcharge for unexpected
and documented sudden increases in such materials. QGS Development, Inc. reserves the right to adjust the project
schedule, where necessary, due to shortage and/or availability of such materials.
This proposal does not include any debris, trash, toxic waste or materials removal, disposal, sorting or handling. This
proposal does not include any excavation, disposal andlor replacement of rock, unsuitable or unstable material. Nor does it
include any subgrade, special bedding or backflll in the pipe trenches, sidewalk or other infrastructure items. Rock
encountered in any mass, trench or structure excavation that can not be removed by normal machine methods with the
equipment available on site will be the owners responsibility to remove or leave in-situ.
Owner to provide access, stockpile and staging areas on the job site and responsible for all power pole 8 utility relocations.
Owner is responsible for atl as-builts, permits, testing, governmental ~ jurisdictional fees and inspections.
