AMENDMENT NO. 1
TO THE DESIGN BUILD AGREEMENT
BETWEEN
THE CITY OF MIAMI BEACH, FLORIDA
AND
RIC-MAN INTERNATIONAL, INC.,
DATED DECEMBER 6, 2006
IN AN AMOUNT NOT-TO-EXCEED $6,369,544
FOR THE PROVISION OF ADDITIONAL DESIGN, PERMITTING AND CONSTRUCTION
NECESSARY FOR THE IMPLEMENTATION OF
THE RIGHT-OF-WAY INFRASTRUCTURE IMPROVEMENTS PROGRAM
NEIGHBORHOOD N0.7 -NAUTILUS PROJECT.
This Amendment No. 1 to the Agreement, made and entered this/~~ay of oC~~
,- 200~'~ by and between the CITY OF MIAMI BEACH, a municipal corporation existing
under the laws of the State of Florida, having its principal offices at 1700 Convention Center
Drive, Miami Beach, Florida 33139 (hereinafter referred to as CITY), and RIC-MAN,
INTERNATIONAL, INC., a Florida Corporation, having its offices at 2601 Northwest 48`h
Street, Pompano Beach, Florida, 33027 (hereinafter referred to as DESIGN -BUILD FIRM).
RECITALS
WHEREAS, on December 6, 2006, the Mayor and City Commission adopted
Resolution No. 2006-26423, authorizing the Mayor and City Clerk to execute aDesign /Build
Agreement with Design-Build Firm, pursuant to Invitation to Bid No. 36-05/06, for the Design,
Permitting, Construction and Construction ManagemEnt associated with Neighborhood No. 7
- Nautilus Right-of-Way Infrastructure Improvement Project (the Agreement)(the Project);
WHEREAS, the proposed improvements for the Project are based upon a Design
Criteria Package (DCP) and Basis of Design Report prepared by the City's A/E consultant,
Reynolds, Smith, and Hills, Inc., and the work includes earthwork, roadway narrowing, milling
and resurfacing, driveway paving, sidewalk construction, water main installation, water
services relocations, storm drainage infrastructure installation, roadway lighting, and
streetscape and planting improvements; and
WHEREAS, the DCP was based upon a design that was 60% complete; and
WHEREAS, the City and Design-Build Firm have negotiated the following Amendment
No. 1, to the Agreement, in an amount not to exceed $6,369,544, to address additional
requirements that became evident after completion of the design and to address items in the
Risk Assessment Plan; and
WHEREAS, Amendment No. 1, increases the total cost of the Agreement fee
$6,369,544, for a total cost of $33,479,766.
NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises,
covenants, agreements, terms, and conditions herein contained, and other good and valuable
consideration, the respect and adequacy are hereby acknowledged, do agree as follows:
ABOVE RECITALS
The above recitals are true and correct and, are incorporated as a part of this
Amendment No. 1.
2. MODIFICATIONS
A. Article 6 of the Agreement, entitled "Completion Date," is amended as follows:
Paragraph 6.03, second sentence: delete "720" calendar days" and insert "900"
calendar days."
B. Delete Article 8.01 of the Agreement, entitled "Compensation and Method of
Payment," "in its entirety, including Attachment 1 thereto, and insert the
following:
ARTICLE 8 -THE CONTRACT PRICE (GUARANTEED MAXIMUM PRICE)
AND METHOD OF PAYMENT
8.01 The Contract Price is the Guaranteed Maximum Price, agreed by the
Design -Build Firm and City under this Contract payable to complete the
Work in accordance with the Aareement and Design Criteria Package, as
may be increased or decreased by Chance Order.
8.01.1 On October 17 2007 pursuant to Resolution No. 2007-26692, the City
Commission approved and authorized the execution of Amendment 1 to the
Aareement in the amount of $6 369 544 as set forth in the revised
Attachment 1 entitled "Guaranteed Maximum Price -Revised Quantities,"
attached and incorporated hereto.
8.01.2 The Contract Price for the Project is $33,479,766.00
3. RATIFICATION
The CITY and DESIGN-BUILD FIRM ratify the terms of the Agreement, as amended
by this Amendment No. 1.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 1 to be
executed in their names by their duly authorized officials as of the date first set forth above.
